“There is only one class of membership.”
“Members can nominate and then elect board members. Article iv section 2 provides: nominations by petition. Additional names of candidates for any open director seats beyond those nominated by the nominating committee may be nominated by petition for an open seat by any five qualified members in good standing expressing support for said nomination in writing at least fourteen (14) days before the annual meeting. The petition shall specify the open seat for which the nomination is made. Election. If no petition is filed within the designated period, the nominations shall be closed and the nominated slate of candidates shall be declared elected at the annual meeting of the membership. If one or more petitions shall present a candidate or candidates in addition to the boards slate for one or more open seats, then written ballots shall be issued and voted upon for the designated contested seat or contested seats at the annual meeting. Election to each such designated contested seat shall be by majority vote. Where no petition has been filed as to a particular open seat, the boards nominees to that designated category or seat shall be declared elected at the annual meeting of the membership. In addition members have the right to amend or repeal the bylaws (article x), call for a special meeting of the membership (article iii, section 2) and vote at the annual meeting or special meeting (article iii, section 4). Although rare, those voting opportunities would be for contested open board seats and bylaw amendments proposed by the membership. Also, all members are eligible for the privileges and benefits of membership in the chamber, meaning they can attend events and participate in committees to interact with fellow business people.”
