“Mid-michigan mri, inc (3mri) is a joint venture between edward w. Sparrow hospital association (sparrow) and michigan state university (msu). 3mri owned and operated three state-of-the-art magnetic resonance imaging (mri units located on the sparrow campus, a fixed ct unit on the msu campus, and open bore mri unit at the msu clinical center, a fixed pet/ct unit at sparrow hospital, and a mobile mri unit serving various hospitals in mid- michigan. 3mri contracted with msus department of radiology and lansing radiology associates for physician services to provide seamless mri services to patients throughout the mid-michigan region. The lease agreements with related parties and 3mri expired on june 30, 2017. The parties agreed to discontinue operations and begin dissolution proceedings based upon the process outlined in the applicable lease agreements at that time. 3mri operations ceased completely at sparrow on june 30, 2017 followed by msu on july 31, 2017. The lease agreements with msu and sparrow provided that most of the assets of 3mri would be purchased at fair value, which resulted in a gain on sale of dissolution. As of 12/31/17, all assets have been sold and the gain on disposal of assets of 8,308,174 has been recognized. 3mri has fully reserved accounts receivable and has adequate cash to pay remaining obligations. Any remaining cash amounts will be distributed to ownership. The organization was officially dissolved with the state of michigan attorney general's office on december 28, 2017.”
