“Uvsa is managed by king management group - a division of management solutions plus, inc. (msp). Uvsa maintains its headquarters at msp offices located at 3465 box hill corporate center drive, ste h, abingdon, md 21009. All regular uvsa staff members are employees of msp and are provided to uvsa on an as-needed basis. Uvsa and msp have a letter of agreement that defines the responsibilities of the management firm. A management fee is negotiated that covers the cost of the uvsa executive director, support staff, office equipment and office space.”

“Uvsa membership is divided into two classes: active and allied. The active member class is further divided into three categories: distributor, manufacturer, and supplier. The members in each category are commercial entities involved with animal health products. Allied members, which have no voting rights, are nonprofit organizations.”

“The board of directors consists of eleven persons, of which no fewer than four and no more than six shall be authorized representatives of active members in the distributor category. The remainder shall by authorized representatives of active members in the manufacturer or supplier categories. No more than two persons from the same or related active members may serve on the board of directors at the same time. Directors service terms of three years and may be re-elected for one successive term. The officers of the association are a chairman of the board of directors, a president, and a treasurer. No two offices may be held by the same person and each officer shall serve a term of two years. Candidates shall be selected annually for all open positions on the board of directors. Candidates shall be elected by vote of the authorized reprsentatives of the active members, acting at the annual meeting or by ballot, as determined by the board.”

“An electronic copy of form 990 is provided to the executive director who then distributes it to the entire board of directors via email for review.”

“Each board member receives and signs the conflict of interest policy each year. If the board has reasonable cause to believe a member has failed to disclose actual or possible conflicts of interest, it shall inform the member of the basis for such belief and afford the member an opportunity to explain the alleged failure to disclose. If, after hearing the member's response and after making further inquiry as warranted by the circumstances, the board determines the member has failed to disclose an actual or possible conflict of interest, it shall take appropriate disciplinary and corrective action.”
