All foundation board members are also current or former board members of the michigan chamber of commerce (the "chamber"). At the beginning of every chamber board meeting, directors review the conflict of interest policy and are asked to disclose interests that may result in a conflict. The policy is included as part of the working consent agenda for each board meeting in advance of business agenda items. If the board of directors determines that a conflict of interest exists, the interested person shall leave the meeting during discussion of, and the vote on, the transaction or arrangement involving the possible conflict of interest.

In the preparation of tax returns, tax positions are taken based on interpretation of federal, state, and local income tax laws.
