The souhtwest solutions board approves certain decisions of southwest housing solutions board of directors including but not limited to the following: budget approval, bylaws revisions, formation of a new company, and capital acquisitions greater than $250,000.

The 990 was prepared internally and reviewed by the cfo. The 990 was provided to the board of directors for their review prior to the filing of the form 990.

Annually the conflict of interst policy is provided to the board members for review and approval. In addition, the disclosure statement is completed on an annual basis by all board members. If there are any conflicts of interest, the board member would abstain from voting.

The steps performed included the following: a compensation committee, an independent compensation consultant, a written employment contract, a compensation survey/study, review of other organizations form 990s, and approval by the board or compensation committee. The organization participates in annual salary surveys based on agencies similar in size and revenues and consults with salary compensation specialists to determine compensation for ceo and key employees. All compensation is approved by the board of directors. This process was last conducted in 2010 and went into effect october 1, 2011.

Effective october 1, 2013, programmatic operations centered around workforce development were transitioned to southwest economic solutions, ein 46-2252476, who formed to carry out these programs separately from the construction and real estate aspects of southwest housing solutions. Revenue and expenses continued to flow through southwest housing solutions for the fiscal year to carry out donor restrictions.

Footnote for uncertain tax position under FIN 48 (Part X)

Accounting principles generally accepted in the u.s. Require management to evaluate positions taken by housing and related consolidated entities and recognize a tax liability if housing has taken an uncertain tax position that more likely than not would not be sustained upon the examination by the irs or other taxing authorities. Management has analyzed the tax positions taken by housing and has concluded that as of september 30, 2014, there are no uncertain tax positions take or expected to be taken that would require recognition of a liability or disclosure in the consolidated financial statements. Housing is subject to routine audits by taxing jurisdictions, however there are no audits in progress. Management believes it is no longer subject to examinations for years prior to 2011.
