Conflict of interest policy compliance Part VI line 12C

The company regularly and consistently monitors and enforces the conflict of interest policy by conducting annual reviews to ensure that the company operates in a manner consistent with its charitable purposes and that it does not engage in activities that could jeopardize its tax exempt status. Minimally the annual review shall include the following subjects:(a) whether compensation arrangements and benefits are reasonable and are the result of arms length bargaining; and (b) whether acquisitions of management services and other material goods and services result in inurement or impermissible private benefit. In conducting the annual review, the company may, but need not, use outside advisors. If outside advisors are used, their use shall not relieve the board of directors of its responsibility for ensuring that reviews are conducted.

Policy: the board of directors shall establish reasonable compensation for the officers, directors and senior executive staff of the copmany and for any employee who is a relative of an officer, director or senior executive member. Procedure: the board may act as a whole or may designate a compensation commettee from among its members to complete the review and submit its findings to the whole board for review and approval. The board members who participate may not have any personal interest in the compensation to be reviewed. 1. The board shall determine who is covered by this policy and compile a list of covered persons. 2. The board shall gather comparability data and use it to establish the reasonablemess of the executive compensation.

Comparability data may be used on industry surveys, studies, documented compensation of persons with similar positions in similar organizations, or other data. Data may be obtained by any means, including documented telephone calls.3. The board shall establish compensation rates based upon the following factors: nature of duties, background and experience, knowledge of the business, size of the company, time devoted,individuals contribution to the financial stability of the company, character and amount of responsibility,amount paid by similar sized companies in the same area to equally qualified employees for similar services. 4. The board shall approve the compensation by majority vote, without the voting participation by the person whose compensation is being approved or any other person with a conflict of interest. The person whose compensation is being approved may answer questions to help the board in its later deliberations, but that person shall not participate in the final board discussion or voting.5. Reveiw and approval of executive compensation shall occur prior to the fiscal year in which the compensation is to be paid.6. The review process and the decision must be documented in writing within 60 days after the decision is made. The board shall approve the documentation within a reasonable time after it is prepared.
