Governance Explanations

Form 990, Part VI, Section A, Line 2

Wavy gravy and jahanara romney are husband and wife who both serve on the board.

Form 990, Part VI, Section B, Line 11

An electronic version of the form 990 is distributed to all board members prior to filing. The treasurer is responsible for a thorough review.

Form 990, Part VI, Section B, Line 12C

Every board member, officer, committee chair, committee member and senior manager of the organization shall sign a conflict of interest statement that will be kept on file with the organization records. If any board member, officer, committee chair, committee member or senior manager of the organization has any direct or indirect interest in, or relationship to, any individual or organization which proposes to enter into a transaction with the organization, such person shall provide prompt written notice of such interest or relationship to the board of directors of the organization, and shall refrain from participating in any discussion or voting on that particular transaction and shall not otherwise attempt to exert any influence on the organization to affect the outcome of the decision making process.

Form 990, Part VI, Section B, Line 15

The ceo/ed and the board have responsibility to ensure that salaries are fair and reasonable. Using appropriate market comparisons (local, regional, or national) for comparable positions in comparable organizations, seva will target salaries in the range from the 50th to the 75th percentile depending on performance and experience. All salaries must be approved by the ceo/ed or the coo. In specific cases, the ceo/ed or coo may approve salaries beyond the 75th percentile. Reasons may include specific advanced credentials, key position for strategic or growth reasoning, or inability to recruit at reported market level. Salaries in excess of the 75th percentile need to be reviewed with the executive committee. Salaries in excess of the 90th percentile need written rationale and prior approval of the executive committee. The salary of the ceo/ed is set by the executive committee using the same principles. Each year, the ceo/ed will review the salaries of the five (5) highest paid staff with the executive committee and the full board. Each employee's salary is determined at the time of hire. Adjustments are made at the discretion of the employee's supervisor in collaboration with the executive director. Cost of living adjustments (colas) if approved by the board in the annual budget will be implemented in july. New staff who are hired between march and june 30th of that year are not eligible for cola or merit increases until july of the following year.

Form 990, Part VI, Section C, Line 19

Upon written request, the organization provides copies of financial statements and filed tax returns. The organization relies on guidestar to publish its tax return on the internet.

Supplemental Narrative

Additional Explanations

FORM 990, PART XII, LINE 2C:

A subcommittee of seva board members act as the audit committee to select and oversee an independent cpa firm to conduct the financial audit. This year, a new audit firm was retained.

Financial Statement Notes

PART V, LINE 4:

Endowment funds are set aside for general support as identified by the board or donor.

PART X, LINE 2:

The foundation is a nonprofit organization and is exempt from federal and state income taxes under section 501(c)(3) of the internal revenue code and california revenue and taxation code section 23701(d). The foundation's policy for evaluating uncertain tax positions is a two step process. The first step is to evaluate the tax position for recognition by determining if the weight of available evidence indicates that it is more-likely-than-not that the position will be sustained upon audit, including resolution of related appeals or litigations processes, if any. The second step is to measure the tax benefit or liability as the largest amount that is more than 50% likely to be realized or incurred upon settlement. As the foundation is exempt from taxation under section 501(c)(3) of the internal revenue code and is generally not subject to federal or state income taxes, the tax positions taken or expected to be taken have not had a material impact on the foundation's financial statements for the year ended june 30, 2014 .

IRS990/Desc0SIGHT SERVICES.SEVA FOUNDATION HELPED RESTORE SIGHT AND PREVENT BLINDNESS BY SUPPORTING THE TRANSFER OF TECHNOLOGY, CLINICAL AND MANAGEMENT TRAINING, THE PROVISION OF EQUIPMENT, AND GRANTS FOR DELIVERY OF DIRECT SERVICES TO LOCALLY RUN COMMUNITY-BASED PROGRAMS IN 20 COUNTRIES. DURING THIS REPORT YEAR, SEVA'S NETWORK OF PROGRAMS AND PARTNERS PROVIDED EYE CARE SERVICES TO 1,035,024 RECIPIENTS AND SIGHT RESTORING SURGERIES TO 104,826. SEVA AND ITS PARTNERS HAVE DEVELOPED A COMPREHENSIVE EVALUATION SYSTEM, WHEREBY PATIENT DATA IS CAREFULLY RECORDED AND FOLLOW-UP TREATMENT IS PROVIDED. DATA IS COLLECTED ON EACH PATIENT'S AGE, GENDER, RESIDENCE, METHOD OF REFERRAL, SYMPTOMS, DIAGNOSIS, AND TREATMENT PLAN. AT EVERY EYE CAMP AND EYE CARE CENTER, SEVA SETS PATIENT TARGETS BASED ON THE POPULATION AND LEVEL OF OUTREACH CAMPAIGNS CONDUCTED IN THE RESPECTIVE CATCHMENT AREAS. SEVA MONITORS THE NUMBER OF PATIENTS SCREENED AND THE NUMBER OF PATIENTS THAT RECEIVE SIGHT SAVING SURGERY, GLASSES, MEDICATION, OR OTHER INTERVENTIONS. OUTCOMES ARE ANALYZED ON A REGULAR BASIS. WHEN EVALUATION RESULTS DETERMINE THE NEED FOR A CHANGE IN PROGRAM DELIVERY, THESE CHANGES ARE INCORPORATED INTO FUTURE PROGRAM PLANNING, FROM SURGICAL PROTOCOL, TO TRAINING, TO OUTREACH ACTIVITIES.

IRS990/ProgSrvcAccomActy2Grp/Desc0GLOBAL SIGHT INITIATIVE (GSI).SEVA FOUNDATION WORKS CLOSELY WITH EIGHT CENTERS OF EXCELLENCE IN EYE CARE IN DEVELOPING COUNTRIES AROUND THE WORLD THAT PROVIDE HIGH VOLUME, HIGH QUALITY SURGERY AND OUTREACH SERVICES. WITH TRAINING, TECHNICAL EXPERTISE AND CASH RESOURCES FROM SEVA, THESE INSTITUTIONS MENTORED 50 UNDERPERFORMING HOSPITALS TO INCREASE THEIR ABILITY TO PROVIDE FREE OR LOW COST, HIGH QUALITY, SIGHT-RESTORING SURGERY AND COMPREHENSIVE EYE CARE SERVICES. THIS PAST YEAR, SEVA ADDED 12 EYE HOSPITALS TO THE NETWORK. A REVIEW BY HARVARD BUSINESS SCHOOL NOTED THAT MORE WOMEN RECEIVED SERVICES AND COSTS WERE REDUCED WHILE QUALITY AND VOLUME IMPROVED BECAUSE OF THIS MENTORING PROGRAM.
