“Changes to the by-laws consisted of the following items: 1. Board members can succeed themselves for two successive terms. 2. Board members and officers may resign with a written notice to the board. 3. Board members and officerscan be removed with or without cause by the remaining board members. 4. Board member and officer vacancies are filled by people selected by the remaining board members. 5. Meeting places and times are set by the board members. 6. Annual in-person meetings are held each fall. Board members may hold two in-person meetings each year. 7. Special meetings of the board may be called by the president. 8. The attendance of a director at a board meeting shall constitute a waiver of notice of the meeting. 9. Board members may attend meetings via telephone, internet conference or similar equipment. 10. A majority of the voting board members constitutes a quorum. 11. A deicision requiring authorization of the board may be made without a meeting. 12. A conflict of interest must be disclosed by board members. 13. The president shall supervise and control all of the business and affairs of the organization. 14. The president, vice president, secretary and treasurer will be elected for a two year term at the october meeting of the board with the term beginning on january 1 of odd numbered years. 15. The treasurer may serve up to a total of three consecutive two year terms in office for a total of six years. 16. A complete and correct set of records shall be open for inspection.”

“In the preparation of tax returns, tax positions are taken based on interpretation of federal, state, and local income tax laws. Management periodically reviews and evaluates the status of uncertain tax positions and makes estimates of amounts, including interest and penalties, ultimately due or owed. No amounts have been identified, or recorded, as uncertain tax positions. Federal, state, and local tax returns generally remain open for examination by the various taxing authorities for a period of three to four years.”
