“Michigan opera theatre amended article vi of its restated articles of incorporation to provide for more inclusive protections for the directors, trustees, officers and volunteers of mot against liability as permitted under amendments to the michigan nonprofit corporation act. Michigan opera theatre amended its bylaws to provide for changes to definitions and provisions regarding membership and operational matters for trustees, directors and committees; to clarify the role of chief executive officer; and to simplify indemnification provisions, and to otherwise coordinate with the michigan nonprofit corporate act.”
