Governance Explanations

Form 990, Part VI, Section B, Line 11B

The form 990 is reviewed by the executive director and board treasurer. The treasurer then presents the form 990 to the full board of trustees for their review and acceptance.

Form 990, Part VI, Section B, Line 12C

Every trustee must complete and sign the board adopted conflict of interest statement on an annual basis. These are reviewed by the chair of the board and the executive director to ensure compliance. Normally, signing takes place at the first board meeting of the calendar year.

Form 990, Part VI, Section B, Line 15A

The compensation for the executive director is determined by performance and comparables, such as comparisons to aaup data for administrators at midwest colleges and universities as well as non-profit executives in west michigan. The review of the executive director is performed by the executive committee of the board.

Form 990, Part VI, Section C, Line 19

The governing documents, conflict of interest policy, and financial statements are available to the public upon written request, subject to review and approval by the board chair. The treasurer is the chairperson of the finance committee and oversees the annual financial statement services of the organization. The board of trustees is charged with the selection of a disinterested third party accountant.

Financial Statement Notes

PART X, LINE 2:

The internal revenue service (irs) has determined the institute to be exempt from federal tax under section 501(c)(3) of the internal revenue code. In addition, the institute qualifies for the charitable contribution deduction under section 170(b)(1)(a) and has been classified as an organization that is not a private foundation under section 509(a)(2). Therefore, no provision for income taxes is made in the accompanying financial statements. The institute files information returns in the u.s. Federal jurisdiction. With few exceptions, the institute is no longer subject to u. S. Federal examinations by tax authorities for years before march 31, 2020. The institute has not had any business income unrelated to its exempt purpose and, therefore, has not filed income tax returns in any jurisdiction.
