Finance and audit committee members review a draft of form 990, and then forward the return to the full board membership for review and approval.

Form 990, Part VI, Section B, Line 12C

The board members and executive staff of the organization are required annually to complete a conflict of interest form. Any member of the board of directors who has a conflict of interest on any matter involving the organization shall not be counted in determining the quorum for that transaction to be acted upon, even when permitted by law. The minutes of the meeting shall reflect that a disclosure was made, the abstention from voting, and the quorum situation.
