The form 990 is made available to the board and is reviewed by the treasurer and executive director before it is filed.

Form 990, Page 6, Part VI, Line 12C

All board members and employees are required to review and sign a conflict of interest policy annually. The executive director reviews and signs all the employees' conflict of interest statements. If any conflicts of interest are identified, the employee will meet with the executive director to discuss the conflict and would not participate in the decision process. The board chair reviews and signs the executive director's and other board members' conflict of interest statements. If any conflicts are noted, the conflict goes to the board chair for review. The board member will meet with the theatre's executive committee to discuss the conflict and would not participate in the decision process.

Line 1 - organization's mission continued: we are dedicated to fostering an inclusive and enriching environment where individuals of all backgrounds can experience the transformative power of theatre. Our core values guide our work: excellence, in our pursuit of the highest artistic and educational standards; inclusion, ensuring all feel valued and represented; collaboration, through meaningful partnerships and shared creativity; integrity, by upholding honesty, transparency, and ethics; and innovation, as we continuously evolve to better serve our community. Line 4b - youth and sota continued: civic theatre is dedicated to expanding opportunities for historically underserved communities through initiatives such as community nights, low sensory nights, and partnerships with helen devos children's hospital. Additional educational programs include scholarship opportunities, audition and specialty workshops, a teaching apprentice program, the theatre assistant program for 8th-12th graders, and the young artist studio program, which offers mentorship for students pursuing a career in the performing arts.

The consolidated organization is exempt from federal income taxes under section 501(c)(3) of the internal revenue code. However, income from certain activities not directly related to the consolidated organization's tax-exempt purpose may be subject to taxation as unrelated business income (ubi). Since the consolidated organization is exempt from federal income taxes, no provision for income taxes is included in the accompanying consolidated financial statements. Generally, tax years from 2020 through the current year remain open to examination. The consolidated organization does not believe that the results from the examination of any open years would have a material adverse effect on the consolidated organization.
