Governance Explanations

Each member of the executive board is required to review the form 990 prior to filing with the internal revenue service. As needed, an executive committee meeting is held to review the form 990 prior to filing with the internal revenue service. A copy of the final form 990 is distributed to the entire board before filing.

Form 990, Part VI, Section B, Line 12C

The organization has a healthy conflict of interest policy that covers all directors and officers of the organization. Directors and officers shall not engage in conduct detrimental to the company, including any activity which would be a conflict of interest with the company. In the event it is not clear that a conflict of interest exists, the director with the potential conflict shall disclose the circumstances to the executive committee. The matter shall be resolved by a vote of the executive committee. Any interested director shall abstain during such vote.

Form 990, Part VI, Section B, Line 15

The compensation package for the top officers is voted on and approved by independent members of sti's board of directors. The independent board approved salary levels based on an analysis of comparable salaries for similar positions in other not-for-profit organizations. For all other employees, the board approves sti's annual budget, which includes salaries and benefits. Compensation was last reviewed on november 15, 2015.

PART IV, LINE 2B:

When tourism providers and travelers send payments to sti for the purpose of offsetting their carbon footprints, they direct the organization to buy the amount of carbon offsets on their behalf. The directive is specific with regard to where the payment goes from sti and sti has no variance power. Therefore, sti is acting as agent for the tourists purchase of carbon offsets on their behalf. $147,502 represents amounts not yet spent, reflected on part x line 21 as an escrow or custodial account liability. $13,354 of the amount on line 21 are donations for oregon traveler's philanthropy program
