Governance Explanations

Form 990, Part VI, Line 1A: Explanation of Delegated Broad Authority to Committee

The Executive Committee has the authority by virtue of the Bylaws authorizing the Executive Committee to act in between meetings of the governing board.

Form 990, Part VI, Line 11B: Form 990 Review Process

Form 990 is reviewed by the Budget and Finance Committee and sent to the full Board for review prior to filing.

Form 990, Part VI, Line 12C: Explanation of Monitoring and Enforcement of Conflicts

The governance committee requires all board, staff and volunteers to review their previously filed conflict of interest forms annually. The committee then reviews the updated forms and discusses potential conflicts. A person with a potential conflict is advised and asked to excuse himself or herself from voting on anything where there may be a conflict of interest.

Financial Statement Notes

Part X : FIN48 Footnote

Accounting principles generally accepted in the United States of America require the Foundations management to evaluate tax positions taken by the Foundation and recognize a tax liability if the Foundation has taken an uncertain position that more than likely would not be sustained upon examination by applicable taxing authorities. Management has analyzed the tax positions taken by the Foundation and has concluded that as of June 30, 2018, there are no uncertain positions taken or expected to be taken that would require recognition of a liability or disclosure in the financial statements. The Foundation is subject to routine audits by taxing jurisdictions; however, there are currently no audits for any tax periods in progress. Tax years prior to 2015 are closed.
