The interested director shall not vote on the matter or be counted in determining whether a quorom exists for such vote and shall not partiipate in any deliberation or provide any information regarding the matter unless specifically requested to do so by the chair of the board or the chair of the committee. The minutes of the meeting of the board or committee shall reflect the disclosure of the conflict of interest and record that the interested director did not vote and was not counted in determining the quorom. A director shall annually file a conflict of interest disclosure statement in such form and containing such information and the council may prescribe.”
