Governance Explanations

Form 990, Part VI, Section A, Line 2

Two board members work for a related organization where one member supervises the other.

Form 990, Part VI, Section A, Line 6

Members pay dues and receive membership benefits. Membership designations consist of the following: attorney, senior, affiliate, institutional, student, honorary, and judicial (dues paying and non-dues paying). Attorney, senior, and dues paying judicial members are entitled to vote and/or be nominated and elected as a member of the board of directors.

Form 990, Part VI, Section A, Line 7A

Only attorney, senior, and dues paying judicial members are entitled to vote and/or be nominated and elected as a member of the board of directors.

Form 990, Part VI, Section B, Line 11B

The 990 is initially reviewed by the financial manager and secretary/treasurer. If timing permits, all board members receive a copy prior to filing, otherwise they receive a copy at the first board meeting immediately following the filing date.

Form 990, Part VI, Section B, Line 12C

This is of primary concern when the board is considering projects or purchases and conflicts and disclosure are focused on most during these times. The officers, directors, and key employees review and sign the policy every year.

Form 990, Part VI, Section B, Line 15

The national association of bar executives' annual survey of bar leadership/staff compensation is used as a guide and submitted to the personnel committee for their consideration. Discussion by the personnel committee of the executive director salary review is a closed door unrecorded session. The executive committee looks over and approves the salary of all other officers and key employees of the organization.

Form 990, Part VI, Section C, Line 19

Copies of the organization's form 990 and related policies are available through the organization's website and upon request.

Financial Statement Notes

PART X, LINE 2:

Dupage county bar association is a not-for-profit association that is exempt from income taxes under section 501(c)(6) of the internal revenue code (irc). The association is not classified as a private foundation. The association follows authoritative guidance issued by the financial accounting standards board (fasb) that clarifies the accounting for uncertainty in income taxes recognized in an entity's financial statements and prescribes a recognition threshold of more-likely-than-not to be sustained upon examination. Measurement of the tax uncertainty occurs if the recognition threshold has not been met. This guidance also addresses derecognition, classification, interest and penalties, disclosure, and transition. The association conducts business solely in the u.s. And, as a result, files information returns for u.s. And illinois. In the normal course of business, the association is subject to examination by taxing authorities.
