Mission

The mission of the american osteopathic foundation is to support programs and services that promote osteopathic medicine and enhance patient-centered care.

To support programs and services that promote osteopathic medicine and enhance patient-centered care. The aof has worked diligently toward realizing its vision, to enrich global health by promoting osteopathic medicine. The aof is energized and inspired to accomplish this through its mission, to support philanthropic activities that promote and enhance the osteopathic profession. Through the support of leadership, the dedication and foresight of the aof board of directors, and the generosity of the foundation's loyal donors, the aof proudly serves as the philanthropic partner for the osteopathic profession, the association and the affiliates. Aof has made a difference in the lives of many within the profession and continues to increase the number of awards given, grants extended, scholarships awarded, and services provided that enhance and benefit osteopathic students, residents, physicians - and the patients they so honorably serve.

Governance Explanations

Form 990, Part VI, Section A, Line 4

The bylaws amended in 2019 to adjust the composition of its voting directors. Voting directors may now include: 1. Two directors may be osteopathic medical students, who are in their second to fourth year, and will serve as a national representative for soma or cosgp. The term of the student directors is limited to one term of two years. 2. One director may be an osteopathic resident. The term of the resident director is limited to one term of two years.

Form 990, Part VI, Section B, Line 11B

Aof's board retains the services of an independent cpa firm to prepare the organization's form 990. Management reviews the completed form 990 for accuracy; then a meeting or conference call is scheduled for the cpa firm and organization management to discuss the form 990 with the finance (or otherwise designated) committee. A full copy of the form 990 is provided to all voting members of the board prior to filing.

Form 990, Part VI, Section B, Line 12C

All aof officers, directors and key employees are annually required to complete a conflict of interest disclosure statement as a precursor to their service to the organization. Potential conflicts are logged with and monitored by the secretary of the board.

Form 990, Part VI, Section B, Line 15A

Compensation review procedures are performed by the american osteopathic foundation's (aof) executive committee; then shared with the full board. Each executive committee member is free from any relationships or conflicts of interest with respect to the organization or the organization's staff that may impair, or appear to impair, the director's ability to make independent judgments regarding compensation policies. Members of the committee are appointed by the board and may be removed by the board in accordance with the bylaws. It is the committee's responsibility to develop, review and approve the compensation, benefits, and annual merit increase annually for the organization; generally in concert with the annual budget review and approval process. Every few years, the executive (or compensation) committee may retain a compensation consultant to assist in a compensation evaluation; including a comparability analysis that includes other organizations within the industry and relevant geographic market. Within the budget guidelines of the organization, the committee annually approves corporate goals and objectives relevant to compensation of the employees of the aof including the ceo. The committee evaluates the ceo's performance in light of the goals and objectives, and reviews and recommends any changes to the ceo's compensation, including (a) salary; (b) increase, (c) bonus, (d) supplemental benefits, including health, retirement benefits and deferred compensation; (e) employment agreements, severance arrangements, and any amendments or waivers to these agreements or arrangements, based on this evaluation. The executive committee reviews the ceo's reviews of all other employees and discusses recommendations in the following areas: (a) salary; (b) annual or bi-annual increase (c) supplemental benefits, including retirement benefits and deferred compensation; (d) employment agreements, severance arrangements, and any amendments or waivers to these agreements or arrangements. Once reviewed, the compensation, or executive committee, makes a recommendation to the full board for its approval of the ceo; and all other staff increases are discussed in concert with the review and approval of the annual budget.

Financial Statement Notes

PART IV, LINE 2B:

The foundation cosponsored a grant with the american osteopthic association (aoa). Half of the amount was remitted to the grantee and the remainder will be remitted when the grantee satisfies certain conditions. Thus, the foundation is holding the amount from the aoa until remitting to the grantee. The amount has been reported on the balance sheet on line 21 as a custodial liability.

PART V, LINE 4:

The board of directors feels that grants, to be made in the future are as important as grants made today. This is consistent with the philosophy that this foundation is to exist in perpetuity, and therefore, should provide for grant making in perpetuity. The aof's endowment funds are restricted for specific purpose grants, scholarships, and awards (i.e., minority scholarship, student leadership award, etc.). The purpose of each fund is established with the donor prior to accepting the funds.

PART X, LINE 2:

Accounting principles generally accepted in the united states of america require management to evaluate tax positions taken by the foundation and recognize a tax liability if the foundation has taken an uncertain position that more likely than not would not be sustained upon examination by the irs or other applicable taxing authorities.
