Amounts paid to each member agency during 2019 are as follows: new york integrated network for persons with intellectual and developmental disabilities $ 306,000 partnerships for healthcare solutions, inc. 306,000 capital north cares, llc 219,000 young adult institute, inc. 183,000 hudson valley care coordination services, inc. 75,000 new york association of emerging and multicultural providers, inc. 75,000 asian american care network, inc. 36,000”

“The company formerly consisted of 7 members. During 2019, the by-laws were amended and one member became the sole corporate member of the company while the other 6 members relinquished their ownership interests.”

“The sole member has a membership interest in the company. The member hereby agrees that a membership interest in the company shall for all intents and purposes be classified as personal property. The member has no ownership interest in specific company property.”

“Additional members may be admitted to the company upon approval of all the members .”

The following actions shall require approval by at least seventy-five (75) votes of the members: (i) any expenditures by the company ovet $150,000 that were not approved as part of the company's budget; (ii) any incurrence of debt by the company from the members or other entities over $150,000; (iii) any change in the purposes or mission of the company; (iv) adoption of any long-range strategic plans; and (v) conversion from a limited liability company to any other corporate form.”

“The board of directors reviewed and approved the form 990 and audited financial statements.”

“After completion of the first draft of the return, the return is presented to the board of managers for review and comment. All comments are collected and discussed at a special board meeting if needed. Any changes, if needed, are made to the final 990 return before filing with the irs.”
