Any actual or possible conflicts of interest must be disclosed and given an opportunity to disclose all material facts to directors. After disclosure of financial interest and all material facts the interested person shall leave the board meeting while the determination of conflict of interest is discussed and voted uponaddressing conflicts of interest: an interested persons may make a presentation at the board meeting, but after such presentation, such person shall leave the meeting during the discussion of, and the vote on, the transaction or arrangement involving the possible conflict of interest.

The compensation committee may engage outside independent compensation and legal advisors when deemed necessary, and may use comparability data from other similarly situated organizations. Financial Statement Notes

Part X : FIN48 Footnote

The Hospital is exempt from federal income taxes under Section 501(c)(3) of the Internal Revenue Code and a similar provision of state law. However, the Hospital is subject to federal income tax on any unrelated business taxable income. Management annually reviews its tax positions and has determined that there are no material uncertain tax positions that require recognition in the financial statements. The Hospital is subject to routine audits by taxing jurisdictions; however, there are currently no audits for any tax periods in progress. In general, the Hospital's returns for the past three years are still subject to examination.

However, the Hospital is subject to federal income tax on any unrelated business taxable income. Management annually reviews its tax positions and has determined that there are no material uncertain tax positions that require recognition in the financial statements. The Hospital is subject to routine audits by taxing jurisdictions; however, there are currently no audits for any tax periods in progress. In general, the Hospital's returns for the past three years are still subject to examination.
