Form 990 Part III, Line 3

On july 1, 2020, the carle foundation purchased 50% ownership stake in community cancer center foundation's sole member, carle cancer institute normal, llc (formerly community cancer center llc) under an asset purchase agreement. On october 1, 2020, the carle foundation purchased the remaining 50% membership stake. On december 31, 2020, community cancer center foundation merged into the carle foundation development, a related 501(c)(3) charitable philanthropy organization. The carle foundation development established a philanthropy leadership council for the purpose of advising the trustees of the carle foundation development on matters pertaining to the community previously served by community cancer center foundation.

Form 990 Part XI, Line 9

Community cancer center foundation settled various intercompany receivable/payable balances through equal offsetting equity transfers. The intercompany receivable/payable balance of ($6,505) resulted from the normal course of operations and was primarily attributable to centralized cash management and disbursement activities. These intercompany receivable/payable settlements helped provide supplemental funding for certain related organizations to further their exempt purposes. On july 1, 2020, the carle foundation purchased 50% ownership stake in community cancer center foundation's sole member, carle cancer institute normal, llc (formerly community cancer center llc) under an asset purchase agreement. On october 1, 2020, the carle foundation purchased the remaining 50% membership stake. On december 31, 2020, community cancer center foundation merged into the carle foundation development, a related 501(c)(3) charitable philanthropy organization transferring total net assets of ($1,063,666).

The financial statements for community cancer center foundation for the last three months of 2020 were reviewed on a consolidated basis under the parent organization, the carle foundation. The carle foundation does have an audit committee consisting of members of the governing board and the chief financial officer who together assume responsibility for oversight of the review and audit of its financial statements and selection of an independent accountant.

The permanently restricted net assets were the result of contributions received for an endowment fund which acts as a perpertual resource to be used to maintain the quality of the facilities for carle cancer institute normal, llc (formerly known as community cancer center llc). Form 990 schedule d, part x the guidance on accounting for uncertainty in income taxes prescribes a more-likely-than-not recognition threshold and measurement attribute for financial statements recognition of a tax position taken or expected to be taken.
