Governance Explanations

Form 990, Part VI, Section B, line 11B

The Executive/Finance Committee reviewed the 990 and recommended approval to the entire Board of Directors prior filing.

Form 990, Part VI, Section B, line 12C

The Organization annually requires a signed statement by each board member that either discloses conflicts or states that there are no conflicts of interest. At the start of every board meeting the Chair inquires as to any new reportable conflicts of interest. Board members are encouraged to report conflicts as they arise between meetings.

Form 990, Part VI, Section B, line 15

Compensation of the CEO, Executive Director and top management is based on annual analysis comparing the Organization's salary structure with similar organizations in the Chicago area. Information on compensation and other management information is also gathered from the attendance of meetings with other similar Organizations and women executive groups. The Senior Director gathered compensation data for other officers and key employees from sources provided by Donors Forum, Chicago Job's Council and other published materials available through the internet.

Form 990, Part VI, Section C, line 19

The governing documents, Conflict of Interest Policy and financial statements are posted on the Organization's website and are available upon request.
