Governance Explanations

Form 990, Part VI, Section B, Line 11B

The organization has its form 990 prepared by an outside accounting firm and has established the following review process to ensure that the information reported is complete and accurate. When the form 990 has been prepared, reviewed by management and is ready to be filed with the internal revenue service, it is electronically sent to the board for approval. Once the board has approved the return it is filed with the internal revenue service.

Form 990, Part VI, Section B, Line 12C

A conflict of interest disclosure statement will be furnished annually to each trustee and staff officer who is currently serving this organization; the policy will be reviewed annually for the information and guidance of trustees and staff officers; and any new trustees or staff officers will be advised of the policy and furnished a disclosure statement upon undertaking the duties of such office. When any conflict of interest is relevant to a matter requiring action by the board of trustees, the interested person shall call it to the attention of the board of trustees and trustee concerned shall not vote on the matter. Moreover, the person having a conflict shall retire from the room in which the board is meeting and shall not participate in the final deliberation or decision regarding the matter under consideration. However, that person may provide the board or committee with any and all relevant information before retiring.

Form 990, Part VI, Section B, Line 15A

The board of directors works with the treasurer to determine the salary of the president. Furthermore an executive and finance committee, which is comprised of the treasurer and secretary, assists the board with their determination of salary increases. The executive and finance committee determines the compensation based on a review of compensation for similar positions in non-profit organizations for individuals with similar levels of experience and accomplishment. The last compensation review process took place in january 2024.

The organization makes its form 990 available for public inspection as required under section 6104 of the internal revenue code. The return is also posted on guidestar.org and other similar types of websites. In addition, the form 1023, financial statements, conflict of interest policy, articles of incorporation and by-laws are also available upon written request or by calling the organization directly.

Financial Statement Notes

PART III, LINE 1A:

The organization has a collection of art. The collection is maintained under the care of the organization and is held for public exhibition and education in furtherance of public service, rather than for financial gain. The organization does not anticipate selling these items and, therefore, does not include either the cost or the value of its collection in the statement of financial position, nor does it recognize gifts of collection items as revenues in the statement of activities. Since items acquired for the collection by purchase are not capitalized, the cost of those acquisitions is reported as decreases in net assets in the statement of activities.

PART III, LINE 4:

Artwork is comprised of artwork purchased and artwork received as donations through christie's auction house and artists for display in hospital rooms and common areas. These displays of visual art further the organization's exempt purpose of helping patients heal by transforming healthcare facilities into engaging and inspiring environments through the installation of artwork. Rxart has completed 66 projects with 96 artists in 44 hospitals throughout 23 cities in the u.s. Since it was founded in 2000.

PART X, LINE 2:

The organization recognizes the effect of income tax positions only if those positions are more likely than not to be sustained. Management has determined that the organization had no uncertain tax positions that would require financial statement recognition or disclosure. The organization is no longer subject to examinations by the applicable taxing jurisdictions for periods prior to fiscal 2021.

THE PROJECT IMMERSED THE INSTITUTE'S MRI SUITE IN JOHNSON'S PLAYFUL SEASCAPE IMAGERY. HIS BLUE-AND-WHITE NAUTICAL LANDSCAPE TRANSFORMED A ONCE BLANK SPACE INTO A UNIQUE AND SERENE ENVIRONMENT THAT EXTENDS THROUGHOUT THE SUITE TO TWO SCAN ROOMS, A CORRIDOR, AND A WAITING ROOM. THE MASONIC INSTITUTE FOR THE DEVELOPING BRAIN (MIDB) IS MINNESOTA'S FIRST COMPREHENSIVE CENTER SPECIALIZING IN RESEARCH, ADVOCACY, AND CARE FOR CHILDREN WITH NEURODEVELOPMENTAL DISABILITIES AND MENTAL HEALTH CONCERNS. MIDB CLINICS OFFER A RANGE OF SERVICES FOR DEVELOPMENTAL AND MENTAL HEALTH CONDITIONS, INCLUDING DIAGNOSTIC EVALUATIONS, INDIVIDUAL AND GROUP THERAPY, MEDICATION MANAGEMENT, CARE COORDINATION, AND DEVELOPMENTAL MONITORING.IN FEBRUARY 2024, RXART INSTALLED A PROJECT WITH ARTIST HAROLD ANCART FOR INTERMOUNTAIN PRIMARY CHILDREN'S HOSPITAL, MILLER FAMILY CAMPUS IN LEHI, UT. THE MILLER FAMILY CAMPUS INCLUDES A FULL-SERVICE PEDIATRIC HOSPITAL OFFERING A RANGE OF SERVICES AND TREATS APPROXIMATELY 60,000 OUTPATIENTS, 40,000 IMAGING VISITS, AND 22,000 INPATIENTS EACH YEAR. IN MAY 2024, RXART COMPLETED ITS LARGEST PROJECT TO DATE, A 407-FOOT MURAL BY SHARA HUGHES FOR PHOENIX CHILDREN'S HOSPITAL. THE PROJECT WAS A DIRECT RESPONSE TO A REQUEST THAT WAS MADE DURING A PATIENT ADVISORY COUNCIL MEETING TO TRANSFORM A FRIGHTENING HALLWAY. PHOENIX CHILDREN'S HOSPITAL IS ARIZONA'S PREMIER HOSPITAL FOR FAMILY-CENTERED, PEDIATRIC CARE FOR PATIENTS WITH COMPLEX MEDICAL NEEDS. THE HOSPITAL HAS 484 PEDIATRIC BEDS AND IS AFFILIATED WITH THE UNIVERSITY OF ARIZONA COLLEGE OF MEDICINE PHOENIX. THE HOSPITAL PROVIDES COMPREHENSIVE PEDIATRIC SPECIALTIES AND SUBSPECIALTIES INCLUDING INPATIENT, OUTPATIENT, EMERGENCY, TRAUMA, AND URGENT CARE FOR INFANTS, CHILDREN, TEENS, AND YOUNG ADULTS 0 TO 21 IN AGE THROUGHOUT ARIZONA AND THE SURROUNDING STATES.IN JUNE 2024, RXART ANNOUNCED THE COMPLETION OF A PROJECT REALIZED IN COLLABORATION WITH THE ESTATE OF SOL LEWITT AT THE NEW 82,000-SQUARE-FOOT HEADQUARTERS OF THE CHILD MIND INSTITUTE CENTER OF EXCELLENCE IN CHILD AND ADOLESCENT MENTAL HEALTH IN NEW YORK CITY. THE PROJECT CONSISTED OF TWO WALL DRAWINGS, #691 AND #784, WHICH WERE EACH ORIGINALLY CREATED BY LEWITT AND EXHIBITED IN 1995. TODAY, IN THIS NEW CONTEXT, THEY GREET CHILDREN AND THEIR FAMILIES WITH A BURST OF COLOR UPON EXITING THE ELEVATOR ON TWO TREATMENT FLOORS. THE CHILD MIND INSTITUTE IS THE LEADING INDEPENDENT NONPROFIT IN CHILDREN'S MENTAL HEALTH. THE INSTITUTE PROVIDES GOLD-STANDARD, EVIDENCE-BASED CARE, DELIVERING EDUCATIONAL RESOURCES TO MILLIONS OF FAMILIES EACH YEAR, TRAINING EDUCATORS IN UNDERSERVED COMMUNITIES, AND DEVELOPING TOMORROW'S BREAKTHROUGH TREATMENTS.FINALLY, IN 2024 RXART PRODUCED VOL 9 OF ITS COLORING BOOK PUBLICATION, "BETWEEN THE LINES: AN RXART COLORING BOOK."
