The board of directors also completes annual conflict of interest statements.”

“The Board of Directors meets monthly and periodically reviews the performance of the Executive Director. All of the Board of Directors are independent of the Executive Director, meaning that none of the Board of Directors are related to nor a close friend of the Executive Director. Compensation of the Executive Director is reviewed by the Board of Directors at least annually at one of the regularly scheduled monthly meetings. The Executive Director is excused from the meeting prior to the performance and compensation review portion of the meeting. The compensation review is based on the information provided by the Ex Officio Directors who obtain and present salary and benefit comparisons for similar positions in the region. After discussion of the performance and job market compensation information, the Board votes whether to grant the Executive Director an increase in compensation. The board also receives the evaluation of the Case Manager performed by the Executive Director and any recommendation for compensation increase for the Case Manager position and the board votes to approve or reject the proposed compensation increase.”
