To provide quality, affordable health care for all, including those without the ability to pay.

Greater elgin family care center is a nonprofit corporation providing access to quality healthcare for the uninsured and underserved residents of the greater elgin, mchenry, streamwood, dekalb, and sycamore communities.

Governance Explanations

Form 990, Part VI, Section A, Line 4

Article v, section 1 of the bylaws was revised from stating that the maximum number of board of director members shall be 14 to stating that the maximum number of board of director members shall be 20. Article v, section 8 of the bylaws was revised to add additional responsibilities of the board. The following responsibilities were added: approving the annual health center budget and audit. Holding monthly meetings and maintaining records/minutes that verify and document the board's functioning. Approving applications related to the health center/corporation project, including grants/designation applications and other hrsa requests regarding scope of project. Long-term strategic planning, which would include regular updating of the health center's/corporation's mission, goal, and plans, as appropriate. Evaluating the health center's/corporation's progress is meeting its annual and long-term goals. Selecting services beyond those required in law to be provided by the health center/corporation, as well as the location and mode of delivery of those services. Determining the hours during which services are provided at health center/corporation sites that are appropriate and responsive to the community's needs. Establishing general policies and procedures for the health center/corporation that are consistent with health center program and applicable grants management requirements. Article vii, section 3 was revised by merging the nominating committee and the bylaws committee into a new committee, the governing committee. Section 3 was also revised to add the audit committee and the endowment trust committee. The audit committee is responsible for selecting and contracting with an audit firm and overseeing the annual independent financial audit process. The endowment trust committee is responsible for selecting and contracting with a financial manager/advisor to manage the greater elgin family care center endowment trust.

Salaries and wages are analyzed by the board of directors using a salary comparison survey supplied by the illinois primary health care association (iphca). A sub-committee of the board of directors was formed for approval of the ceo's salary and wages. Information from related organization's 990s and iphca salary survey was used in making the salary determination. All remaining employee's salaries are approved by the president/ceo, subject to salary ranges approved annually by the board of directors.
