Governance Explanations

Form 990, Part VI, Section B, Line 11B

The board retains the services of an independent cpa firm to prepare the organization's form 990. Management reviews the completed form 990 and provides a full copy to all voting members of the governing body prior to filing. The governing body is provided a reasonable amount of time to review the return and ask any questions directly to organization management or the contact at the independent cpa firm prior to filing. A meeting or conference is later scheduled for the cpa firm and organiztion management to discuss the form 990 with the governing body or thier designated committee, as needed.

Form 990, Part VI, Section B, Line 12C

Officers, directors, trustees, and key employees are annually required to complete a conflict of interest disclosure statement as a precursor to their service to the organization. Potential conflicts are logged with and monitored by the secretary of the board.

Form 990, Part VI, Section B, Line 15

Compensation review procedures were performed by a related organization, the thresholds. The ceo has an employment contract that is evaluated annually by the board's executive committee. The board meets in executive session to determine the ceo's annual compensation package that may include a discretionary bonus. The board president documents the results of this assessment and the committee's decision and routes this information to talent management for processing. The compensation of the ceo was reviewed and approved by the executive committee on february 12, 2015. The executive committee acted based upon advice from mercer, a qualified global independent compensation consulting firm, which thresholds retained on february 6, 2015 to provide an analysis. Mercer's advice included a compensation assessment review based on compensation paid by other organizations for positions serving in a similar capacity.

THE APARTMENTS GENERALLY ARE LEASED FOR ONE-YEAR TERMS AND ARE REGULATED BY THE U.S. DEPARTMENT OF HOUSING AND URBAN DEVELOPMENT (HUD) AS TO RENTS AND OPERATING METHODS. CERTAIN CAPITAL COSTS NOT APPROVED BY HUD HAVE BEEN FUNDED BY A $167,842 ADVANCE FROM THE THRESHOLDS. THOSE FUNDS WILL BE RECORDED AS A CAPITAL CONTRIBUTION AND WILL NOT BE REPAID TO THE THRESHOLDS FOR AT LEAST FORTY YEARS. THE PROJECT'S ACTIVITIES ARE CONTROLLED BY THE BOARD OF DIRECTORS OF THE THRESHOLDS, A RELATED NONPROFIT SOCIAL SERVICE AGENCY WHICH PROVIDES REHABILITATIVE SERVICES TO FORMER MENTAL PATIENTS AND ALSO PROVIDES CERTAIN MANAGEMENT, ACCOUNTING, AND ADMINISTRATIVE SERVICES AND OFFICE FACILITIES TO THE PROJECT FOR WHICH A MANAGEMENT FEE IS CHARGED.
