Governance Explanations

Form 990, Part VI, Section A, line 2

Mr. Baxendale and Ms. Crenshaw (CFO of The Chicago Community Trust) are both paid employees of The Chicago Community Trust, a related tax-exempt organization. Mr. Baxendale serves as the VP, Treasurer and Secretary of the Foundation, and Ms. Crenshaw served as the Assistant Treasurer.

Form 990, Part VI, Section A, line 6

The members of Lavin Family Supporting Foundation are divided into two classes: the Donor Member and the Publicly Supported Organization Members. The initial Donor Member is Leonard Lavin. The initial Publicly Supported Organizational Member is The Chicago Community Trust. The membership of any publicly Supported Organization Member shall cease if, at any time, such Member ceases to be an organization described in Section 501(c)(3) and Sections 509(a)(1) or (2) of the Internal Revenue Code of 1986, as amended, or the corresponding provisions of the applicable Federal tax law. Thereafter, any organization which is so described and which is named in accordance with this corporation's Articles of Incorporation in substitution for such former member shall become the Publicly Supported Organization member.

Form 990, Part VI, Section A, line 7A

A majority of the directors shall be elected by the Publicly Supported Organization and each such person elected shall be known as a "Public Director". The Donor Member shall be authorized to elect one director of the corporation who shall be known as the "Donor Director".

Currently, the organization does not have a formal conflict of interest policy, a whistleblower policy or a document retention policy, but is following the policy of The Chicago Community Trust.

Form 990, Part III, Line 1, Description of Organization'S Mission:

The Foundation is organized and operated to foster, support, develop, and maintain charitable activities and vital human and educational services by supporting and carrying out the charitable purposes of The Chicago Community Trust by such means as the board of directors of the organization may determine from time to time.

Form 990, Part XII, Financial Statements and Reporting, Line 2C:

The audit committee of the supported organization, The Chicago Community Trust, assumes responsibility for oversight of the audit, review of the financial statements, and selection of the independent accountants.

Financial Statement Notes

Part V, Line 4:

The goal of the Lavin Foundation is to invest its quasi-endowment in a manner to achieve a total return that will allow the foundation to respond to the charitable needs of the community.

Part X, Line 2:

The Trust and its affiliates received tax determination letters from the Internal Revenue Service indicating that they are tax exempt organizations under Section 501(c)(3) of the Internal Revenue Code and, except for the taxes pertaining to unrelated business income, are exempt from federal and state income taxes. No provision has been made for income taxes as the Trust and its affiliates have had no significant unrelated business income. The Trust and affiliates account for uncertain tax positions in accordance with FASB Interpretation No. 48, Accounting for Uncertainty in Income Taxes (included in FASB ASC Subtopic 740-10, Income Taxes - Overall). There is no impact as a result of this pronouncement as the Trust and affiliates have no significant uncertain tax positions. On December 22, 2017, the President signed in to law H.R. 1, originally known as the Tax Cuts and Jobs Act. The new law includes several provisions that result in substantial changes to the tax treatment of tax-exempt organizations and their donors. The Trust and affiliates have reviewed these provisions and the potential impact and concluded the enactment of H.R. 1 will not have a material effect on the operations of the organization.

The governing documents of the Trust and the Foundation consist of the same seventeen members and they have the power to appoint the majority of the governing board of Lavin. The Trust and Foundation received a private letter ruling from the Internal Revenue Service which allows for the Foundation to be making grants to charitable organizations that operate exclusively to perform the functions or to carry out the purposes of the Trust and Foundation by promoting the mental, moral, intellectual and physical improvements, assistance, and relief of the residents of the greater Chicago Metropolitan region.

IRS990ScheduleD/SupplementalInformationDetail/ExplanationTxt1The Trust and its affiliates received tax determination letters from the Internal Revenue Service indicating that they are tax exempt organizations under Section 501(c)(3) of the Internal Revenue Code and, except for the taxes pertaining to unrelated business income, are exempt from federal and state income taxes. No provision has been made for income taxes as the Trust and its affiliates have had no significant unrelated business income. The Trust and affiliates account for uncertain tax positions in accordance with FASB Interpretation No. 48, Accounting for Uncertainty in Income Taxes (included in FASB ASC Subtopic 740-10, Income Taxes - Overall). There is no impact as a result of this pronouncement as the Trust and affiliates have no significant uncertain tax positions. On December 22, 2017, the President signed in to law H.R. 1, originally known as the Tax Cuts and Jobs Act. The new law includes several provisions that result in substantial changes to the tax treatment of tax-exempt organizations and their donors. The Trust and affiliates have reviewed these provisions and the potential impact and concluded the enactment of H.R. 1 will not have a material effect on the operations of the organization.
