Governance Explanations

Form 990, Part VI, Section A, Line 8B

Cff does not have a committee with authority to act on behalf of the board. Accordingly, this question is answered no.

Form 990, Part VI, Section B, Line 11B

Cff's leadership team (board and senior staff members) perform a detailed preliminary review of the prepared form 990. Subsequent to this review, a full copy of the final form 990 is provided to each member of the governing body for their review and vote for approval prior to filing with the irs.

Form 990, Part VI, Section B, Line 12C

All officers, directors, and trustees are required to disclose annually any potential or actual conflicts that may exist with the organization. The individual is required to voluntarily come forward if he or she is aware of a potential conflict, and each situation is reviewed by the board to determine if an actual conflict exists. If it is determined an actual conflict of interest exists, the individual with the conflict shall abstain from voting on or advocating a position on any action in which he or she has a conflict of interest. The abstention shall be recorded in the minutes of the meeting at which the issue is under consideration.

Form 990, Part VI, Section B, Line 15

Annually, compensation of the cff executive director is reviewed and market increases are awarded based on research by the finance director and hr manager. Then, any market increases are reviewed by the cff board.

Form 990, Part VI, Section C, Line 19

Financial statements, governing documents, and conflict of interest policies are not required disclosures pursuant to internal revenue code (irc) section 6104. These documents are made available upon request.
