Form 990, Part VI, Line 3 Delegation of management duties

As of June 1, 2023, the organization was placed into receivership with Community Investment Corporation and 5TMgmt was hired as the management company to run the day-to-day operations and management of the organization. Fees paid for management services during the tax year, including payroll and other fees, was $270,642.

Heartland Housing, Inc. is the sole voting member of the organization.

Form 990, Part VI, Line 7A Members or stockholders electing members of governing body

Heartland Housing, Inc. appoints the directors and officers of the organization.

All governance decisions of the organization are reserved to the sole member, Heartland Housing, Inc.

Form 990 is prepared by an independent CPA firm and reviewed in detail by the organization's top management and the Board Chairman prior to filing with the IRS.

Form 990, Part VI, Line 12C Conflict of interest policy

All members of the Heartland Alliance board of directors, as well as members of the organization's subsidiary boards of directors, annually sign a conflict of interest policy, copies of which are retained in the president's office. In addition, all Heartland Alliance senior management (included in Heartland Alliance cabinet, approximately 60+ of the top directors of the organization) annually sign the conflict of interest policy. A copy of the board of directors policy is posted on a password protected portion of the organization's website, designed for board members. A copy of the policy for management is posted on the organization's intranet. Policy requires disclosure of any situation in which there may be even an appearance of potential conflict of interest. When appropriate, members of the board of directors, or senior management, recuse themselves from decision-making if there is any conflict of interest. Relative to board or board committee actions, this is reflected in the meeting minutes. The policy is reviewed regularly by the Chief Corporate Compliance officer of the organization. Additional monitoring is performed by the organization's executive team and the risk policy committee of the board of directors.

A copy of the board of directors policy is posted on a password protected portion of the organization's website, designed for board members. A copy of the policy for management is posted on the organization's intranet. Policy requires disclosure of any situation in which there may be even an appearance of potential conflict of interest. When appropriate, members of the board of directors, or senior management, recuse themselves from decision-making if there is any conflict of interest. Relative to board or board committee actions, this is reflected in the meeting minutes. The policy is reviewed regularly by the Chief Corporate Compliance officer of the organization. Additional monitoring is performed by the organization's executive team and the risk policy committee of the board of directors.
