Governance Explanations

Form 990, Part VI, Line 15

The filing organization does not compensate its officers, directors, or trustees; instead, they are compensated by Saint Anthony Hospital, a related organization. All annual salary increases for the President & CEO are reviewed and approved by the President Compensation Sub-Committee and documented in minutes prepared for each meeting. All annual salary increases for other officers are reviewed and approved by the Compensation Committee and documented in minutes prepared for each meeting. Also, an independent market survey was conducted in August 2021 to ensure that the salaries of the CEO and other officers were within standard market range.

Form 990, Part VI, Line 7A Members or stockholders electing members of governing body

At least three Directors will be individuals who are in full commission with the Catholic Church and who are approved by the Archbishop of Chicago ("the Canonical Directors") upon presentation by the current Directors. The remaining Directors (the "Non-Canonical Directors") shall be elected by a majority vote of the Canonical Directors.

Form 990, Part VI, Line 7B Decisions requiring approval by members or stockholders

The following actions require the approval of the Archbishop of Chicago: a) Any changes to the purposes of the Corporation; b) The contents of the formation program for the Canonical Directors; c) Fixing the number and approving the Canonical Directors of the Corporation; d) The sale, disposition, or other forms of alienation of the stable patrimony of the Corporation in excess of the maximum determined by the Holy See from time to time; e) Removing, with or without cause, a Canonical Director; f) The dissolution of the Corporation upon request of not fewer than two-thirds of the Canonical Directors; and g) Suppression of the Corporation for failure to act in accordance with its Canonical Statutes, an act which is solely reserved to the Archbishop of Chicago.

Form 990, Part VI, Line 12C Conflict of interest policy

Annually, the Corporate Responsibility Officer of Saint Anthony Hospital, a related organization, has the Board, as well as officers and vice presidents, review, fill out, and sign the conflict of interest questionnaire. The Corporate Responsibility Officer reviews the completed conflict of interest questionnaires. If a conflict of interest arises, the affected board member (or officer) abstains from voting on the respective issue. The Corporate Responsibility Officer maintains all signed conflict of interest statements on file.
