“On 9/9/2024, the organization amended article 3, membership, of its bylaws to include section 3.1.1 as follows: 3.1.1 tier ii organizations ineligible for membership in nihl 3.1.1.1 tier ii organizations subject to article 17.1.3 of the ahai rules and regulations, separated from an organization that existed on january 10, 2021 and were issued a usa hockey/ahai identification number pursuant thereto. 3.1.1.2 any organization created after january 10, 2021 that has any affiliation to an existing member. An affiliation is defined as including but not limited to any one of the following: 1) being organized under the same corporate structure as that of the existing member. 2) having one or more identical members of its board of directors or governing body as that of the existing member. 3) playing under the same or similar team name, colors and/or logo of the existing member.”

“On 9/9/2024, the organization amended section 5.5 of article 5, executive board and officers, of its bylaws to include the following sentence: a certified public accountant shall be engaged to render an opinion on the annual financial report so as to comply with the requirements of the illinois' attorney general's office for not-for-profit corporations.”

“The board of directors shall consist of one representative from each member organization. Each member organization shall designate two representatives,one to be designated as the official voting representative and the other asthe alternative representative. All matters concerning the conduct ofnorthern illinois hockey league shall be managed by the board of directors.the board of directors shall elect a president, vice president, secretary,and a treasurer.”

“The treasurer has been entrusted with the primary responsibility for preparing and reviewing form 990, a draft of which is provided to the board memebers for review and comment prior to finalization.”

“Any director, officer, or member of the executive board who has a direct or indirect financial interest regarding which northern illinois hockey leagueis negotiating a transaction or arrangement must disclose all material facts to the executive board. The remaining board members meet and determine by a majority vote whether the transaction or arrangement is in northern illinois hockey league's best interest to enter as a transactionor arrangement. Annually, each director, officer, and member of the executive board shall sign a statement that affirms such person : a)has received a copy of the conflict of interest policy; b) has read and understands the policy; c) has agreed to comply with the policy; and d) understands that northern illinois hockey league is a charitable organization and in order to maintain its federal tax exemption, it mustengage primarily in activities that accomplish one or more of its tax-exempt purposes.”

“The board of directors conduct annual reviews of the compensation of all individuals and determine whether compensation arrangements and benefits are reasonable.”
