“The women's council of realtors board of directors delegates broad authority to the executive committee. The executive committee (ec) consists of 16 or 17 members, which shall include the president, president-elect, rec. Secretary, fin. Secretary, the 3 most recent past presidents able to serve, the wcr rep. To the nar ec, 6 members selected by and from the outgoing governing board (2 each year) and 3 members appointed by the president (1 each year). The term of service, whether by election or appointment, shall be 3 years, except for the wcr rep to the nar ec, which is a two-year appointment. All appointments to the ec shall be subject to the approval of the governing board. Members of the ec shall automatically become members of the governing board. The president shall act as chairman of the ec. The ec shall meet on the call of the president, or upon the request of any four of its members. Regular meetings of the ec shall be held at least three times per year. (a) to examine reports of all committees and make recommendations for action thereon. (b) to discuss policies and procedures for the purpose of coordinating activities of all officers committees, and wcr staff. (d) to develop new programs and review existing ones. (e) to develop new and better ways of serving the membership on all levels. (f) to plan for the future of the organization.”

“The Women's Council of REALTORS Form 990 will be reviewed in detail by the EVP, and then it will be reviewed and discussed by the Executive Committee before filing with the IRS.”

“Annually, the officers and directors receive a copy of the conflict of interest policy designed to help identify any conflicting issues that may need to be addressed by the governing body. If any conflicts noted, they are addressed by the board of directors in a timely manner. Also, if necessary, the nar general counsel is consulted about appropriate steps to take if a conflict arises. Any person that has a conflict is not allowed to vote on transactions or decisions for which that individual may personally benefit.”

“THE CEO'S COMPENSATION IS DETERMINED BY THE CEO ADVISORY COMMITTEE (CEOAC) MADE UP OF INDEPENDENT MEMBERS OF THE GOVERNING BOARD USING COMPARABILITY DATA, PERFORMANCE EVALUATIONS AND OTHER INFORMATION (E.G, EXPERIENCE). IN ACCORDANCE WITH THE CEO'S WRITTEN EMPLOYMENT CONTRACT, THE CEOAC MEETS TWICE TO DISCUSS THE CEO'S PREVIOUS YEARS' PERFORMANCE, OBJECTIVEs FOR THE COMING YEAR, AREAS FOR DEVELOPMENT AND ANY CHANGES IN PAY (INCLUDING BONUSES AND PAY INCREASES). THE FIRST MEETING IS COMPOSED ONLY OF MEMBERS OF THE CEOPAC, AND THE SECOND MEETING INCLUDES THE MEMBERS OF THE CEOPAC AND THE CEO. AT THE WCR MIDYEAR MEETINGS, THE PRESIDENT ELECT REPORTS THE RESULTS OF THE EVALUATION MEETINGS TO THE EXECUTIVE COMMITTEE (EC), AND ACCORDINGLY, THIS EVP CONTRACTUAL UPDATE IS NOTED IN THE MINUTES OF THE EC. THE CEO'S COMPENSATION FOR THE 2024 TAX YEAR WAS REVIEWED AND APPROVED DURING 2024.”

“Governing documents and financial statements are made available to the public as appropriate on a case by case basis. Conflict of interest policies are available upon request at any time.”
