Governance Explanations

Form 990, Part VI

Part vi - question 6 through 7b rli's members do not possess the kinds of rights outlined in part vi line 6 of the 990 instructions. As such, the organization has checked "no" to the questions on line 6 - 7b. Part vi - question 2- related party information among board directors: bob turner serves on the board of the land education foundation as vice- chair, in addition to his position as nar executive committee chair on the realtors land institute board. Johnny mcallister serves on the board of the land education foundation as chair, in addition to his position as land education foundation committee chair on the realtors land institute board. Sam bowers and fd bell both work for the same realty business, bowers and burns real estate in newnan, ga. Mr. Bowers is president of the business and fd bell is a broker associate. Dan murphy and geoff hurdle are in-laws, as the daughter of one married the son of the other. Rli holds an investment in open fences media llc, the management company of the land broker co-op. Several members of the rli board are members of the co-op.

On an annual basis, the directors receive a questionnaire designed to help identify any conflicts of interest issues that may need to be addressed by the governing body. As administered by the chief executive officer, each director will be asked to complete a certification of agreement with the rli conflict of interest policy and disclosure of any known conflicts of interest upon his or her election or re-election to the board and annually thereafter. Each senior staff member will be asked to complete such a certification upon his or her employment and on an annual basis thereafter. All certifications shall be reviewed by the board as appropriate. Whenever any director has a conflict of interest or a perceived conflict of interest that could negatively impact the operations of the realtors land institute, he or she shall notify the board chair of such conflict in writing. Whenever any staff member (paid or volunteer) has a conflict of interest or a perceived conflict of interest that could negatively impact the operations of the realtors land institute, he or she shall notify the appropriate individual, either the board chair or the chief executive, of such conflict in writing. The minutes of the meeting of the board or its committee shall reflect that conflict of interest was disclosed, that the interested person was not present during the discussion or decision on the matter, and did not vote.

Form 990, Page 6, Part VI, Line 15A

The chief executive officer's compensation is determined using comparability data, performance evaluations and other information approved by the executive committee of the rli (realtors land institute) board of directors. This committee consists of the president, president-elect, vice president and immediate past president. The decision regarding the final determination of the compensation package of the organization's chief executive officer is documented in the employee's human resources files. On an annual basis, the chief executive officer has a performance evaluation which is used to determine any changes in pay (including bonuses, cost of living and merit increases). The chief executive officer's compensation for the 2024 tax year was determined at her evaluation in december 2023. Staff pay raises for 2024 were approved at the december 2023 board meeting.

Volunteers consist of the board, and individuals who serve on the four main board committees. These groups include the alc designation, education, government affairs and future leaders committees. There is a nar executive committee representative, and a chapter leadership council committee. There is a planning committee for the national land conference which involves volunteers whether the conference is in-person or virtual.

Financial Statement Notes

Schedule D, Page 3, Part X

Rli follows guidance issued by the financial accounting standards board (fasb) with respect to accounting for uncertainty in income taxes. A tax position is recognized only if it is "more likely than not" that the tax position would be sustained in a tax examination, with a tax examination being presumed to occur. The amount recognized is the largest amount of tax expense or benefit that is greater than 50% likely of being realized on examination. For tax positions not meeting the more likely than not test, no tax expense or benefit is recorded. Rli recognizes interest and penalties related to unrecognized tax positions in interest and income tax expense, respectively. Rli has no amounts accrued for interest or penalties as of december 31, 2024 and 2023. Due to its tax-exempt status, rli is not subject to u.s. Federal income tax or state income tax. Rli does not expect the total amount of unrecognized tax benefits to significantly change in the next 12 months. Rli is no longer subject to examination by u.s. Federal or state taxing authorities for years ending before december 31, 2021.
