Form 990, Part VI, Section A, Line 4

In fiscal year 2024, the nasvh membership approved several amendments to the association's constitution and bylaws. Key updates included: -clarification of the definition and roles of associate, honorary, and retired members, including limitations on committee and officer participation. -designation of the legislative officer as the primary liaison to the national association of state directors. -definition of the responsibilities and structure of the investment committee. -updates to the structure and requirements for annual membership dues.

Form 990, Part VI, Section A, Line 5

During the fiscal year, it was discovered that a contractor in charge of coordinating the vendor registration for our summer and winter conferences improperly accepted and diverted payments from conference vendors and did not remit these payments to the association. Although it is believed that the amount of the theft is higher, the association has been able to document over $135,000 in diverted payments. A civil lawsuit has been filed by the association and the matter has been referred to the authorities in the county that the contractor resided during the suspected theft. Since discovering the diversion, nasvh has implemented numerous controls to help ensure that the risk to exposure of future diversions is limited. Those controls include the automation of the registration and payment process so that only those registered and paid through the official nasvh website can attend conferences. In addition, an outside accounting firm has been hired to reconcile and prepare the monthly interim financial statements to ensure that multiple individuals review association transactions.

Each state veteran home certified by the usdva or applying for certification, or annex thereto, or extension thereof, located within a state or territory, after having paid dues, shall be considered an organizational member of the association.

Each state veteran home is considered a single member of nasvh. As such, a representative of each member home may cast their vote for the various positions on the executive committee.

Once elected by the membership, the executive committee works to manage the organization to accomplish its mission to represent veterans living in the state veterans homes.

ALTHOUGH IT IS BELIEVED THAT THE AMOUNT OF THE THEFT IS HIGHER, THE ASSOCIATION HAS BEEN ABLE TO DOCUMENT OVER $135,000 IN DIVERTED PAYMENTS. A CIVIL LAWSUIT HAS BEEN FILED BY THE ASSOCIATION AND THE MATTER HAS BEEN REFERRED TO THE AUTHORITIES IN THE COUNTY THAT THE CONTRACTOR RESIDED DURING THE SUSPECTED THEFT. SINCE DISCOVERING THE DIVERSION, NASVH HAS IMPLEMENTED NUMEROUS CONTROLS TO HELP ENSURE THAT THE RISK TO EXPOSURE OF FUTURE DIVERSIONS IS LIMITED.
