Governance Explanations

Form 990, Part VI, Section B, line 11B

The Foundation will provide a copy of the Form 990 to all members of the Board by request before it is filed. The form 990 will be reviewed by the Executive Director, President, Treasurer, and the Director of Finance before it is filed. The Board is provided a copy of the return prior to filing with the IRS.

Form 990, Part VI, Section B, line 12C

The Foundation maintains a written conflict of interest policy. All members of the Board of Directors are required to review this policy and provide the necessary disclosures on an annual basis, by responding to the official policy documents.

Form 990, Part VI, Section B, line 15

The Foundation does not have any compensated officers. The policy below is from its related organization, Renal Physicians Association. The Executive Committee of the organization reviews benchmark data collected by the American Society of Association Executives (ASAE) and the American Association of Medical Society Executives (AAMSE) in preparation for the performance review and salary determination for the RPA Executive Director. Comparable salaries for CEO's of similar size (budget), RPA type of association (individual physician membership), and geographic location of association headquarters (Washington, DC metro area) are reviewed by the Executive Committee to ensure appropriate alignment with like organizations. For other key employees, the Executive Director annually reviews benchmark data for similar positions that is also collected and published by ASAE and AAMSE to determine appropriate salary ranges for those staff members.

The Foundation is a tax-exempt organization under IRC Section 501(c)(3) and is exempt from income taxes except on unrelated business activities. Contributions to the Foundation are deductible as provided in IRC Section 170(b)(1)(A)(vi). Management has evaluated the Organization's tax positions and has concluded that the Organization has taken no uncertain tax positions that qualify for either recognition or disclosure in the consolidated financial statements for the years ended December 31, 2024 and 2023.

All members of the Board of Directors are required to review this policy and provide the necessary disclosures on an annual basis, by responding to the official policy documents.

The Executive Committee of the organization reviews benchmark data collected by the American Society of Association Executives (ASAE) and the American Association of Medical Society Executives (AAMSE) in preparation for the performance review and salary determination for the RPA Executive Director. Comparable salaries for CEO's of similar size (budget), RPA type of association (individual physician membership), and geographic location of association headquarters (Washington, DC metro area) are reviewed by the Executive Committee to ensure appropriate alignment with like organizations. For other key employees, the Executive Director annually reviews benchmark data for similar positions that is also collected and published by ASAE and AAMSE to determine appropriate salary ranges for those staff members.
