Governance Explanations

Form 990, Part VI, Section A, Line 1A

Lookingglass'executive committee is comprised of 12 board officers. The scope of the committee's authority is as authroized in the corporate by-laws.

Form 990, Part VI, Section A, Line 6

The theatre has one class of members, which consists solely of participants in the theatre's ensemble. Members are elected by a 70% majority vote of active ensemble members and must commit to meet the annual ensemble commitment. The corporate by-laws describe the voting rights of members.

Form 990, Part VI, Section A, Line 7A

Active ensemble members elect the class of directors that are nominated by the then-current board of directors upon expiration of their terms at the annual meeting. A majority vote is required for a board member to be elected. Ensemble members also directly elect the artistic director.

Form 990, Part VI, Section A, Line 7B

Active members are entitled to vote for and approve various financial, hiring, contract, production, season, and ticketing policies by the board of directors. A full list of voting rights of the active members can be found in the corporate bylaws.
