Business and family relationships: mr. William dinsmoor and dr. James canedy have a business relationship through common board of director positions with organizations.

As outlined in the operating agreement between clarkson college (college) and the nebraska medical center (tnmc), tnmc provides the chief executive officer (whose title is president) and all such other administrative and professional personnel reasonably necessary for the operation of the college.

Governing body and management: the nebraska medical center is a 501(c)(3) organization and is the sole member of clarkson college. The sole member has the right to approve all amendments to the articles of incorporation and to the bylaws of the corporation, to approve any dissolution, consolidation or merger of the entity. The sole member also has the power to elect and remove directors of the college and the power to approve and remove the person designated as the president of the college.

Fin 48 footnote the college has been recognized as a tax-exempt organization by the internal revenue service as described in section 501(c)(3) of the internal revenue code (the code) and, therefore, is exempt from income taxes on related income under section 501(a) of the code. In accordance with asc subtopic 740-10, income taxes-overall, the college recognizes the effect of income tax positions only if those positions are more likely than not of being sustained. Recognized income tax positions are measured at the largest amount that is greater than 50% likely of being realized. Changes in recognition or measurement are reflected in the period in which the change in judgment occurs. During 2014 and 2013, the college did not record any amounts related to uncertain tax position or any accrued interest and penalties.
