Mission

Theresa living centers mission is to provide transitional/rapid re-housing opportunities for women and single-parent families who are striving to reclaim self-dignity and economic independence following a period of homelessness. Theresa living center provides affordable housing and basic-needs support services so our clients can achieve self-sufficiency. We believe that each woman has the strength to make positive life changes to become self-sufficient.

The 990 is completed jointly by the executive director and financial auditors for operational and financial integrity. The information is then presented and reviewed by the finance committee of the board for approval.

Form 990, Page 6, Part VI, Line 12C

Duty to disclose in connection with any actual or potential conflict of interest, an employee or board member must disclose the existence of the financial or personal interest that he or she may have. The board member must be given an opportunity to disclose all material facts to the organization or the board. Determining whether a conflict of interest exists -- after disclosure of the financial interest and/or all material facts, the interested employee or board member shall leave the board meeting/ exclude themselves from the conversation while the determination of a conflict- of- interest is discussed and voted on. The remaining board members/ executive director shall decide if a conflict of interest exists. Procedures for addressing the conflict of interest if the board/executive director determines that there is a conflict of interest or the appearance of impropriety, the interested board member/employee shall take no part in the discussion of and decision regarding the business in which the interested board member/employee has a conflict. Violation of the conflict-of-interest policy if the board/executive director has reasonable cause to believe a board member/employee has failed to disclose an actual or potential conflict of interest, it shall inform the interested board member/employee of the basis for such belief and give the member/employee an opportunity to explain the alleged failure to disclose. After giving the board member/employee an opportunity to explain, the remaining board members/executive director may conduct an investigation if warranted by the circumstances. The remaining board members/executive director will then determine whether the board member/employee has failed to disclose an actual or potential conflict of interest and shall take appropriate action.

Top official for theresa living center receives an annual review from the board of directors based on anniversary date. The board establishes goals for the executive director, then annually measures the director to the goals.

Compensation is based on funding and the financial ability of theresa living center. Salary guidelines are established based on our organizations size and position as established by the minnesota non-profits salary and benefits survey; salary increases are derived from the survey standards and the financial condition of theresa living center.

Theresa living center is exempt from federal and minnesota taxation pursuant to the provisions of section 501(c) (3) of the internal revenue code and section 290.05 of the minnesota statutes and is only subject to federal and state income taxes on net unrelated business income. Since the organization had no unrelated business taxable income in 2024 and 2023, the accompanying financial statements do not include any provision for federal or state income taxes. The organization has not been audited, and accordingly the information tax returns for the past three years are open to examination. Management has evaluated its tax positions and has concluded that they do not result in anything that would require either recording or disclosure in the financial statements based on the criteria set forth in asc 740.

THERESA LIVING CENTER PROVIDES FINANCIAL HOUSING SUPPORT AND BASIC-NEEDS SUPPORT SERVICES TO ASSIST OUR CLIENTS IN THEIR QUEST TO ACHIEVE SELF-SUFFICIENCY. WE BELIEVE THAT FAMILIES AND INDIVIDUALS EXPERIENCING HOMELESSNESS HAVE THE STRENGTH TO MAKE POSITIVE LIFE CHANGES TO BECOME SELF-SUFFICIENT. WE PROVIDE AN EDUCATIONAL PIECE VIA WEEKLY WORKSHOPS ON VARIOUS AREAS TO ENHANCE LIFE SKILLS TO INFORM AND EDUCATE OUR PARTICIPANTS IN AREAS LIKE; FINANCES, PARENTING, TENANT LANDLORD RELATIONSHIP, CAREER PLANNING ETC.
