Governance Explanations

Form 990, Part VI, Section A, Line 1

The executive committee consists of the president, vice president, treasurer, and past president. The board shall manage the affairs of the foundation, but may delegate this function to the executive committee if and as it deems necessary.

Form 990, Part VI, Section A, Line 6

The foundation has two classes of membership. The first class of membership shall be the board of directors, each of whom have one vote and shall govern, adopt policies, and otherwise carry on the business of the foundation. The other class is known as emeritus board members, each of whom are designated by the board of directors, and may consist of any individual who, in the judgment of the board of directors, has contributed to the activities of the foundation. This non-voting membership in the foundation is entitled to attend open meetings of the board of directors of the foundation.

The board of directors are considered members and have the power to elect members of the governing body.

The form 990 is prepared by an independent public accounting firm using information provided by the organization. Once a draft of the return is ready, the 990 is provided to the president/chair and treasurer of the board for their review and signature. No formal approval is done by the board.

Form 990, Part VI, Section B, Line 12C

The conflict of interest policy protects the anoka technical college foundation board. The purpose of the policy is to make known to the board any conflicts that may be identified by the board members who sign. Any conflicts made aware are reviewed by the executive director, brought before the executive committee of the foundation board, then presented to the full board for transparency. When a conflict does occur that board member having the conflict may not participate in any activity when the conflict is involved. Any conflicts brought before the board are documented through formal board meeting minutes. In the event activity involving conflict does take place involving a board member, the audit committee chair (secretary of the board) will audit the activity and report to the executive committee for any decisions and/or actions.
