Form 990, Part VI, Section A, line 6

Each residential congregation, recognized fellowship and specialized ministry within the jurisdiction of the District of Illinois and Wisconsin, Church of the Brethren, shall be considered a member.

Form 990, Part VI, Section A, line 7A

Each congregation, fellowship or specialized ministry in the IL/WI District of the Church of the Brethren names a delegate to the District meeting which is held annually. The delegates represent their home church and vote on the business of the District. During that District meeting, they close the regular meeting and open the annual meeting of Pinecrest. The CEO provides a written report, gives a verbal report and provide copies of our yearly financial statements to the delegates. The delegates are given an opportunity to ask questions to the CEO and then close the annual meeting of Pinecrest and reopen the District meeting. They do this for each of the District's nursing homes and church camps. During the business meeting of the District, they approve any new Pinecrest Board members who are also Church of the Brethren members. They also approve any Pinecrest Board members who are entering a second or third term on the Board who are Church of the Brethren members.

Ferol Labash, CEO, reviewed the Form 990 carefully. The Form 990 was presented at the Board of Director's meeting and was reviewed and approved by the Board before it was filed.

Form 990, Part VI, Section B, line 12C

The officers and Board of Directors are required to sign a conflict of interest policy form before they become the board members. The organization regularly and consistently monitors and enforces compliance with the conflict of interest policy by reviewing it annually. Each board member completes a conflict of interest questionnaire annually stating they have read the policy and disclosing any potential conflicts of interest. The questionnaires are reviewed by the compliance officer and CEO. If a conflict arises, the board would be made aware of the conflict. The board member with the conflict would not participate in any discussion or vote related to the conflict.

Financial Statement Notes

Part X, Line 2:

Pinecrest Village files a Form 990, Return of Organization Exempt from Income Tax, annually. When this return is filed, it is highly certain that some positions taken would be sustained upon examination by the taxing authorities, while others are subject to uncertainty about the merits of the position taken or the amount of the position that would ultimately be sustained. Unrelated business income (UBI) is reported on Form 990-T, as appropriate. The benefit of a tax position is recognized in the consolidated financial statements in the period during which, based on all available evidence, management believes that it is more likely than not that the position will be sustained upon examination, including the resolution of appeals or litigation processes, if any. Tax positions are not offset or aggregated with other positions. Tax positions that meet the "more likely than not" recognition threshold are measured as the largest amount of tax benefit that is more than 50 percent likely to be realized on settlement with the applicable taxing authority. The portion of the benefits associated with tax positions taken that exceeds the amount measured as described above is reflected as a liability for unrecognized tax benefits in the accompanying consolidated statements of financial position along with any associated interest and penalties that would be payable to the taxing authorities upon examination. As of June 30, 2019 and 2018, there were no unrecognized tax benefits identified and recorded as liabilities. Form 990 filed by Pinecrest Village is subject to examination by the IRS up to three years from the extended due date of each return. Form 990 filed by Pinecrest Village is no longer subject to examination for the years ended June 30, 2015 and prior.

It provides spacious and maintenance free apartments and cottages to people who are 62 years of age or older able to live independently. Full kitchens allow residents to dine in if they choose or to entertain friends, while two freshly prepared meals are served each day in the Village's gracious dining room. A full slate of activities, from travel opportunities to morning coffee get-togethers, gives residents the chance to pursue interests, develop new skills, and meet their neighbors.

When this return is filed, it is highly certain that some positions taken would be sustained upon examination by the taxing authorities, while others are subject to uncertainty about the merits of the position taken or the amount of the position that would ultimately be sustained. Unrelated business income (UBI) is reported on Form 990-T, as appropriate. The benefit of a tax position is recognized in the consolidated financial statements in the period during which, based on all available evidence, management believes that it is more likely than not that the position will be sustained upon examination, including the resolution of appeals or litigation processes, if any. Tax positions are not offset or aggregated with other positions. Tax positions that meet the "more likely than not" recognition threshold are measured as the largest amount of tax benefit that is more than 50 percent likely to be realized on settlement with the applicable taxing authority. The portion of the benefits associated with tax positions taken that exceeds the amount measured as described above is reflected as a liability for unrecognized tax benefits in the accompanying consolidated statements of financial position along with any associated interest and penalties that would be payable to the taxing authorities upon examination. As of June 30, 2019 and 2018, there were no unrecognized tax benefits identified and recorded as liabilities. Form 990 filed by Pinecrest Village is subject to examination by the IRS up to three years from the extended due date of each return. Form 990 filed by Pinecrest Village is no longer subject to examination for the years ended June 30, 2015 and prior.

The delegates represent their home church and vote on the business of the District. During that District meeting, they close the regular meeting and open the annual meeting of Pinecrest. The CEO provides a written report, gives a verbal report and provide copies of our yearly financial statements to the delegates. The delegates are given an opportunity to ask questions to the CEO and then close the annual meeting of Pinecrest and reopen the District meeting. They do this for each of the District's nursing homes and church camps. During the business meeting of the District, they approve any new Pinecrest Board members who are also Church of the Brethren members. They also approve any Pinecrest Board members who are entering a second or third term on the Board who are Church of the Brethren members.

The organization regularly and consistently monitors and enforces compliance with the conflict of interest policy by reviewing it annually. Each board member completes a conflict of interest questionnaire annually stating they have read the policy and disclosing any potential conflicts of interest. The questionnaires are reviewed by the compliance officer and CEO. If a conflict arises, the board would be made aware of the conflict. The board member with the conflict would not participate in any discussion or vote related to the conflict.
