The board retains the services of an independent cpa firm to prepare the organization's form 990. Management reviews the completed form 990. A meeting or conference call is subsequently scheduled for the cpa firm and organization management to discuss the form 990 with the finance committee. After the meeting, a copy of the full 990 is provided to all voting members of the governing body prior to filing. The governing body is provided a reasonable amount of time to review the return and ask questions directly to organization management or the contact at the independent cpa firm prior to filing.

Form 990, Part VI, Section B, Line 12C

The board of directors completes and annually reviews conflict statements each january. Depending on the specifics of the conflict, various actions could be taken with the goal of eliminating the conflict. An interested person may make a presentation at the board or committee meeting, but after such presentation, he/she shall leave the meeting during the discussion of, and the vote on, the transaction or arrangement that results in the conflict of interest. The chairperson of the board or committee shall, if appropriate, appoint a disinterested person or committee to investigate alternatives to the proposed transaction or arrangement. After exercising due diligence, the board or committee shall determine whether the corporation can obtain a more advantageous transaction or arrangement with reasonable efforts from a person or entity that would not give rise to a conflict of interest. If a more advantageous transaction or arrangement is not reasonably attainable under circumstances that would not give rise to a conflict of interest, the board or committee shall determine by a majority vote whether the transaction or arrangement is in the organization's best interest and for its own benefit and whether the transaction is fair and reasonable to the organization and shall make its decision as to whether to enter into the transaction or arrangement in conformity with such determination.

The process for determining compensation of officers and key employees includes a market analysis of comparable positions from similar organizations for benchmarking purposes. This information is reviewed by the director of human resources, with final compensation decisions made by the ceo within budgetary guidelines which are reviewed in detail by the finance committee and approved by the full board. On an annual basis, the full board reviews and discusses ceo performance, after which the executive committee of the board (consisting of the president, vice president, and treasurer) documents the board's assessment of that performance and discusses it with the ceo. That assessment, along with organizational performance, market factors, and the company's "chief executive officer performance incentive compensation plan" inform the executive committee's decision regarding the ceo's compensation. Once finalized, that decision is communicated to the full board at its next regular meeting.
