Those key personnel with conflicts are advised to recuse themselves from participating in decision making related to the conflict.

The CEO/VPs of the organization and key senior management are compensated by Copley Memorial Hospital. Copley Memorial Hospital follows a compensation approval procedure annually that involves approval of proposed and final compensation arrangements by its Compensation Committee and full Board of Directors using comparability data, as well as contemporaneous documentation of compensation decisions in minutes.

Although the organization does not receive stand alone GAAP financial statements it does receive on an annual basis from independent auditors consolidated entity GAAP financials statements (audited) for it and its affiliates.

Financial Statement Notes

Part X, Line 2:

The Internal Revenue Service has determined that the Corporation, the Hospital, Ventures and the Foundation are qualified as tax-exempt organizations under Internal Revenue Code Section 501(c)(3); accordingly, income taxes are not provided for in the accompanying consolidated financial statements. The Medical Group operates as a taxable corporation and accounts for income taxes under Financial Accounting Standards Board (FASB) Accounting Standards Codification (ASC) 740. No provision for income taxes was recorded for 2017 and 2016 due to operating losses. As of June 30, 2017, the Medical Group had net operating loss carryforwards of approximately $87,168,000 for income tax purposes that are available to offset future taxable income. If not utilized, these carryforwards will begin to expire in 2019. Based on the uncertain realization of these carryforwards, a valuation allowance has been recorded to fully reserve these carryforwards.

CV leases and operates outpatient clinics and medical office buildings.CV owns the Rush-Copley Healthplex ("Healthplex"), which is a health and fitness center providing preventive medicine and wellness education to the general public. The Healthplex offers the latest in exercise equipment and a staff of nationally recognized, certified and degreed professionals. The Healthplex is equipped with a therapy pool and exercise equipment to rehabilitate patients ranging from cardiac patients to patients who have sports injuries. The Healthplex offers a wide variety of activities to members of all ages and all fitness levels. The Healthplex has developed wellness programs and support groups to help members adjust both mentally and physically to different health problems.The following is a sample of programs offered at the Healthplex:Childbirth and Parenting Classes, including Nutrition & Exercise During Pregnancy, are provided to educate the community and make them aware of other services provided by the Rush-Copley Medical Center, Inc. and affiliated organization.Wellness Programs encourage participants to improve their health through education and activities. Recent offerings include: CPR, Arthritis Foundation Aquatic Program, Fibromyalgia, Aqua Multiple Sclerosis Water Exercises, Senior Citizens Golden Heart Club, Exercise for the Business & Vacation Traveler, and Injury Prevention for the Athlete.The Healthplex has also established youth programs to help children develop motor skills, while introducing them to nutrition and interdisciplinary studies. These programs encourage development of personal, social, health, and wellness skills that will lead to life-long physical activity. Recent offerings include: Kids Cardio, Kids Fitness Class, Exercise Your Heart, Healthy Opportunities Together, Youth Fitness assessments, and Kids Power.

IRS990ScheduleD/SupplementalInformationDetail/ExplanationTxt0The Internal Revenue Service has determined that the Corporation, the Hospital, Ventures and the Foundation are qualified as tax-exempt organizations under Internal Revenue Code Section 501(c)(3); accordingly, income taxes are not provided for in the accompanying consolidated financial statements. The Medical Group operates as a taxable corporation and accounts for income taxes under Financial Accounting Standards Board (FASB) Accounting Standards Codification (ASC) 740. No provision for income taxes was recorded for 2017 and 2016 due to operating losses. As of June 30, 2017, the Medical Group had net operating loss carryforwards of approximately $87,168,000 for income tax purposes that are available to offset future taxable income. If not utilized, these carryforwards will begin to expire in 2019. Based on the uncertain realization of these carryforwards, a valuation allowance has been recorded to fully reserve these carryforwards.
