The cna employees' health plan trust veba is related to continental casualty company, which is an indirect wholly-owned subsidiary of cna financial corporation. Continental casualty company is the entity for which the veba provides medical benefits for employees under the health and group benefits program. Form 5500 is filed annually for the health & group benefits program, and audited financial statements for the plan are part of the filing. The cna employees' health plan trust is the funding vehicle for all expenses of the health & group benefits program, which includes only self-insured benefits and related expenses. Supplemental unemployment compensation payments to plan participants are also made through the health plan trust. Form 5500 is filed annually for the supplemental unemployment benefits plan, and audited financial statements for the plan are part of the filing. Also paid through veba, not subject to audit, are benefits for group accident and health insurance for general finance corporation retirees and continental insurance company retiree health care account. Cna's code of business conduct and ethics (referred to as "code") covers all employees, officers and directors of the company and its wholly-owned subsidiaries. Accordingly, the veba is subject to professional conduct policies detailed in the code (accessible on the company's public website), as well as detailed internally through "our commitment to professional conduct" (available on the company's intranet website). Trustees are required to complete periodic web based fiduciary training. The company undertakes several activities to ensure that employees are in compliance with corporate policies surrounding professional conduct, which include, but are not limited to conflicts of interest. Mandatory annual requirements include periodic completion of web-based training, as well as completion of a conflict of interest questionnaire. Completion of this annual requirement is audited to ensure that all employees are compliant. Additionally, periodic emails are directed to all employees emphasizing the company's commitment to professional conduct. Every cna employee has the responsibility to avoid conflicts of interest and to report anything that appears to be one to cna management and/or a human resources representative, or the conflict of interest policy may result in disciplinary action, including possible termination.

FORM 5500 IS FILED ANNUALLY FOR THE HEALTH & GROUP BENEFITS PROGRAM, AND AUDITED FINANCIAL STATEMENTS FOR THE PLAN ARE PART OF THE FILING. THE CNA EMPLOYEES' HEALTH PLAN TRUST IS THE FUNDING VEHICLE FOR ALL EXPENSES OF THE HEALTH & GROUP BENEFITS PROGRAM, WHICH INCLUDES ONLY SELF-INSURED BENEFITS AND RELATED EXPENSES. SUPPLEMENTAL UNEMPLOYMENT COMPENSATION PAYMENTS TO PLAN PARTICIPANTS ARE ALSO MADE THROUGH THE HEALTH PLAN TRUST. FORM 5500 IS FILED ANNUALLY FOR THE SUPPLEMENTAL UNEMPLOYMENT BENEFITS PLAN, AND AUDITED FINANCIAL STATEMENTS FOR THE PLAN ARE PART OF THE FILING. ALSO PAID THROUGH VEBA, NOT SUBJECT TO AUDIT, ARE BENEFITS FOR GROUP ACCIDENT AND HEALTH INSURANCE FOR GENERAL FINANCE CORPORATION RETIREES AND CONTINENTAL INSURANCE COMPANY RETIREE HEALTH CARE ACCOUNT. CNA'S CODE OF BUSINESS CONDUCT AND ETHICS (REFERRED TO AS "CODE") COVERS ALL EMPLOYEES, OFFICERS AND DIRECTORS OF THE COMPANY AND ITS WHOLLY-OWNED SUBSIDIARIES. ACCORDINGLY, THE VEBA IS SUBJECT TO PROFESSIONAL CONDUCT POLICIES DETAILED IN THE CODE (ACCESSIBLE ON THE COMPANY'S PUBLIC WEBSITE), AS WELL AS DETAILED INTERNALLY THROUGH "OUR COMMITMENT TO PROFESSIONAL CONDUCT" (AVAILABLE ON THE COMPANY'S INTRANET WEBSITE). TRUSTEES ARE REQUIRED TO COMPLETE PERIODIC WEB BASED FIDUCIARY TRAINING. THE COMPANY UNDERTAKES SEVERAL ACTIVITIES TO ENSURE THAT EMPLOYEES ARE IN COMPLIANCE WITH CORPORATE POLICIES SURROUNDING PROFESSIONAL CONDUCT, WHICH INCLUDE, BUT ARE NOT LIMITED TO CONFLICTS OF INTEREST. MANDATORY ANNUAL REQUIREMENTS INCLUDE PERIODIC COMPLETION OF WEB-BASED TRAINING, AS WELL AS COMPLETION OF A CONFLICT OF INTEREST QUESTIONNAIRE. COMPLETION OF THIS ANNUAL REQUIREMENT IS AUDITED TO ENSURE THAT ALL EMPLOYEES ARE COMPLIANT.
