The annual form 990 is reviewed in detail by stc managing director and finance committee. Once the review is complete, the full 990 is provided to the entire board of directors for final review and approval. Filing occurs after board approval is received.

Form 990, Part VI, Section B, Line 12C

Annually, each officer, employee, and director of the organization shall complete a conflict of interest disclosure form revealing any potential or existing conflicts as described in the by-laws of the organization and within the disclosure form. If a conflict of interest exists, the officer, employee, or director's conflict shall be brought to attention at the next board meeting and treated as deemed appropriate. Conflicts are determined based on the individual with the conflict - with employee conflicts reviewed and determined by the artistic and managing director and board member. Conflicts reviewed and determined by the remaining board members - the individual with conflict may be asked to refrain from voting on any such relating matters. All proceedings related to conflicts of interest are documented in the meeting minutes or as otherwise appropriate.

The board of directors annually determines what the compensation should be for the artistic director. The board of directors utilizies comparability data from the tcg salary survey as a part of the determination of compensation levels. The process includes completion of a self-evaluation which is compared to an evaluation completed by the chair of the board, with input from board members. The evaluation and salary recommendation is brought forward to the board for discussion and approval. This determination last occurred in 2025.

PART X, LINE 2:

Stages theatre company is incorporated as a nonprofit corporation under the applicable laws of the state of minnesota. Stc is exempt from income taxes under section 501(c)(3) of the internal revenue code (irc), except to the extent it has taxable income from activities that are not related to its exempt purpose. Cpt services is an s-corporation and is not a tax paying entity. All tax effects are passed through to stc. Stc generates unrelated business income from advertising sales and cpt services. Stc believes that it has appropriate support for any tax positions taken, and accordingly, does not have any uncertain tax positions that are material to the consolidated financial statements.
