Governance Explanations

Form 990, Part VI, Section A, Line 1

The executive committee shall have the power to act on behalf of the board whenever an emergency exists which cannot be acted upon in a time by a regular meeting of the board and, in such other manner as shall from time to time be determined by resolution of the board, but all actions taken by the executive committee must be fully reported to the board at the next board meeting. The executive committee shall consist of the board president, vice president, secretary, treasurer, and past president.

The organization amended its bylaws to reflect a change in its fiscal year-end. The organization adopted a june 30 year-end instead of a calendar year in 2013.

The form 990 is provided to all members of the board of directors prior to filing. It is reviewed and approved by the executive director, in conjunction with the finance committee, prior to filing.

The conflict of interest policy covers the board of directors and its officers. The executive committee makes determinations as to whether a conflict is deemed to exist. The full board of directors reviews actual conflicts. Restrictions imposed on the person with the conflict are dependent upon the situation, and may require recusal from voting on the matter, resignation, or other action as appropriate. The board members review the policy annually and document any updates, as applicable.

The executive director salary and benefits are set by the board and communicated in writing. Comparability data and performance reviews are used to aide in establishing compensation for the executive director. This process is completed annually.

Financial Statement Notes

PART V, LINE 4:

The earnings distributions from the endowment funds are unrestricted and will be used for the organization's operating expenses.

PART X, LINE 2:

Feeding south dakota is a nonprofit organization other than a private foundation that is exempt from federal income taxes under section 501(c)(3) of the internal revenue code. The organization received its permanent 501(c)(3) status in february 1984. Contributions to the organization are eligible as deductible charitable contributions for federal income tax purposes. The organization is annually required to file a return of organization exempt from income tax (from 990) with the irs. In addition, the organization is subject to income tax on net income that is derived from business activities that are unrelated to their exempt purpose. The organization has determined it is not subject to unrelated business income tax and has not filed an exempt organization business income tax return (form 990-t) with the irs. Feeding south dakota believes that it has appropriate support for any tax positions taken affecting is annual filing requirements, and as such, does not have any uncertain tax positions that are material to the financial statements. The organization would recognize future accrued interest and penalties related to unrecognized tax benefits and liabilities in income tax expense if such interest and penalties are incurred.
