The Committee of 200 is an organization of highly successful women business leaders. Members include Entrepreneur/Corporate Executive and Legacy Members. Entrepreneur or Corporate Executive Members in good standing may vote, hold office, and serve on committees. Legacy Members in good standing may vote and serve on committees, but may not hold office.

Members of Committee of 200 shall elect the Board of Directors of the organization.

The business and financial affairs of the corporation shall be managed by the Board of Directors.

Form 990, Part VI, Section B, line 11B

The Form 990 is reviewed by the Director of Finance, the Treasurer, and the Finance and Investment Committee, in conjunction with an independent accounting firm, and approved by the Treasurer. The final return is made available to the entire Board of Directors who approve the Form prior to filing with the IRS.

Form 990, Part VI, Section B, line 12C

All Officers and Directors of the organization are required to disclose any potential conflict to the Executive Committee. Yearly affirmations are also made to confirm independence and the individual's agreement to the conflict of interest policy. The Executive Committee will determine the course of action in dealing with potential conflicts of interest, including as needed, discussion with the full Board, recusal of the disclosing person, or resignation of the disclosing person.

Form 990, Part III, line 3

Effective January 1, 2019, The Committee executed a corporate restructure. On January 1, 2019, the Foundation consummated a merger with the Committee of 200. The Foundation represents the surviving entity, whose name has been changed to The Committee of 200 (the Committee). All of the Committee of 200's assets were merged into the Foundation on the effective date above. This surviving entity (the Committee) will continue to operate as a nonprofit corporation, incorporated in Missouri, operating in Illinois and exempt from income taxes under Section 501(c)(3) of the Internal Revenue Code. As of effective, date the Committee is doing business as C200.

Financial Statement Notes

Part X, Line 2:

The Committee of 200, ("The Committee"), an Illinois nonprofit corporation, is exempt from income taxes under Section 501(c)(6) of the Internal Revenue Code and applicable state law, except for taxes pertaining to unrelated business income, if any. The Committee follows the accounting standard on accounting for uncertainty in income taxes, which addresses the determination of whether tax benefits claimed or expected to be claimed on a tax return should be recorded in the financial statements. Under the guidance, The Committee may recognize the tax benefits from an uncertain tax position only if it is more likely than not that the tax position will be sustained on examination by taxing authorities, based on the technical merits of the position. Examples of tax positions include the tax-exempt status of the Committee and various positions related to potential sources of unrelated business taxable income. As of December 31, 2019 there were no unrecognized tax benefits identified or recorded as liabilities. The Committee files Form 990 in the U.S. federal jurisdiction. The Committee is no longer subject to examination by the Internal Revenue Service for years before 2016.

IRS990ScheduleD/SupplementalInformationDetail/ExplanationTxt0The Committee of 200, ("The Committee"), an Illinois nonprofit corporation, is exempt from income taxes under Section 501(c)(6) of the Internal Revenue Code and applicable state law, except for taxes pertaining to unrelated business income, if any. The Committee follows the accounting standard on accounting for uncertainty in income taxes, which addresses the determination of whether tax benefits claimed or expected to be claimed on a tax return should be recorded in the financial statements. Under the guidance, The Committee may recognize the tax benefits from an uncertain tax position only if it is more likely than not that the tax position will be sustained on examination by taxing authorities, based on the technical merits of the position. Examples of tax positions include the tax-exempt status of the Committee and various positions related to potential sources of unrelated business taxable income. As of December 31, 2019 there were no unrecognized tax benefits identified or recorded as liabilities. The Committee files Form 990 in the U.S. federal jurisdiction. The Committee is no longer subject to examination by the Internal Revenue Service for years before 2016.

This surviving entity (the Committee) will continue to operate as a nonprofit corporation, incorporated in Missouri, operating in Illinois and exempt from income taxes under Section 501(c)(3) of the Internal Revenue Code. As of effective, date the Committee is doing business as C200.
