“Executive committee. The executive committee shall be chaired by the board chair/s and include the executive co-director/s and board liaison. If roles are filled, a vice chair, secretary, and/or treasurer may be on the committee at the discretion of the executive co-director's and board chair's. The committee will work in consultation with the executive co-director/s. The executive co-director/s of the corporation shall be an ex officio non-voting member of the executive committee. The executive committee carries out executive functions of icah between board meetings and recommends action to the board and the executive co-director's. The executive committee actions shall be reviewed and approved by the full board at its regularly scheduled meetings. The executive committee shall be responsible for evaluating the work of the executive co-director's via a process specified by the executive co-director's contract or employee handbook, whichever has been approved or signed most recently.”

“The executive committee receives, reviews, and signs the form 990 each year. The full board of directors then receives access to the form 990 filed.”

“Directors are required to sign a conflict of interest statement annually, disclosing any interests they may have. In a proceeding contesting the validity of a transaction, the person asserting validity has the burden of proving fairness unless the material facts of the transaction and the director's interest or relationship were disclosed or known to the board or a committee consisting entirely of directors, and the board or committee authorized, approved, or ratified the transaction by the affirmative votes of a majority of disinterested directors, even though the disinterested directors did not constitute a quorum. The presence of the director who is directly or indirectly a party to the transaction described in clause (a) of this section, or a director who is otherwise not disinterested, may be counted in determining whether a quorum is present but may not be counted when the board or a committee of the board takes action on the transaction. Any action taken is documented in the board minutes.”

“The executive committee shall be responsible for evaluating the work of the executive co-director(s). The evaluation will include a recommendation regarding renewing contracts and salary raises based upon the most recent cost-of-living-adjustment (cola) increase. The evaluation should occur as specified by the executive director's contract, but not less than one time per year. The process described here was last completed in 2025.”

“The organization's governing documents, conflict of interest policy, and financial statements are available to the public upon request.”
