Governance Explanations

Form 990, Part VI, Line 15A PROCESS OF DETERMINING COMPENSATION

The executive compensation committee (the "committee") of the board of trustees of roosevelt university, a related organization and sole corporate member, shall review and approve the cash and non-cash compensation policies and programs and major changes in the organization's benefit plan that are applicable to the chief executive officer of the auditorium. The process with respect to the chief executive officer (ceo) is as follows: 1.the committee reviews compensation data from comparable peer organizations; 2. The president of roosevelt reviews and approves the annual written performance goals of the ceo; 3. The committee reviews and approves the president's decisions to adjust compensation for the ceo after the completion of the annual review of the ceo. The organization has a written employment contract with the ceo; 4. The committee documents the results of their review and approval.

The ceo hires all members of executive leadership and compensation is determined within both the parameters of the board approved budget as well as market rates, industry trends, and professional experience of the candidate.

Form 990, Part VI, Line 1A Delegate broad authority to A committee

The Executive Committee is created pursuant to Article VII of the Bylaws. The Executive Committee shall have full power to approve leases, contracts and other instruments relating to the use of the real estate of the Corporation and to authorize and direct the officers of the Corporation to execute and deliver such leases, contracts, and other instruments so approved by the Executive Committee; provided, however, that the Executive Committee shall not have the power to mortgage, buy, sell, or convey real estate on behalf of the Corporation. Actions taken by the Executive Committee, acting as the interim Board, shall in all circumstances be subject to review, modification or reversal by the Board, except to the extent such action is by its nature irrevocable and was taken in reliance upon a direction or a resolution of the Executive Committee prior to a review by the full Board of Directors. The Executive Committee shall be constituted as follows: The Chair, the immediate past Chair, the Chief Executive Officer, the Secretary, the Treasurer, three at large members serving for a single three year staggered term (one to be selected each year at the Annual meeting), the Chairs of the standing committees, and the Vice Chairs. If a vacancy occurs during the term of an at large member, the Chair will appoint an individual to serve out the remainder of the term. Such appointees are eligible for election to a full three year term thereafter.

The finance committee reviews the prepared form 990 in detail and makes their recommendations to the full board. The final form 990 excluding the names and addresses of anonymous donors is provided to all board members for their review prior to submission to the internal revenue service. Since the board does not receive a complete copy ahead of filing, this question has been answered "no" in accordance with the instructions.

Form 990, Part VI, Line 12C Conflict of interest policy

All officers, directors, trustees, and key employees are covered under the conflict of interest policy. Annually, all members are required to complete a conflict of interest questionnaire and disclose potential or actual conflicts that may exist. The organization's CFO monitors and reviews the completed conflict of interest questionnaires to determine if a potential or actual conflict of interest exists with the organization. If it is determined that a conflict of interest exists, the organization's CFO brings that conflict of interest to the attention of the Chair of the Board for further consideration. If a conflict of interest exists, that member is excused from discussion or voting on issues relating to said conflict.

Financial Statement Notes

Schedule D, Part V, Line 4 Intended uses of endowment funds

One endowment was established to support the Educational program "Hearts to Art" (formerly "Hands Together, Heart to Art") summer camp. A second endowment supporting dance programming at the Auditorium was established in 2023. Under the guidance of the Finance Committee, the spending policy was established to use a portion of the earnings, and keep the gift itself intact for perpetuity.

Schedule D, Part X, Line 2 FIN 48 (ASC 740) footnote

ATRU has received a determination letter from the Internal Revenue Service indicating that ATRU is recognized as a tax-exempt organization under Section 501(c)(3) of the Internal Revenue Code and, except for taxes pertaining to unrelated business income, is exempt from federal and state income taxes. ATRU had no unrelated business income for the years ended August 31, 2024 and 2023. ATRU follows guidance issued by the Financial Accounting Standards Board (FASB) with respect to accounting for uncertainty in income taxes. A tax position is recognized as a benefit only if it is "more likely than not" that the tax position would be sustained in a tax examination, with a tax examination being presumed to occur. The amount recognized is the largest amount of tax benefit that is greater than 50% likely of being realized on examination. For tax positions not meeting the "more likely than not" test, no tax benefit is recorded. ATRU recognizes interest and penalties related to unrecognized tax benefits in interest and income tax expense, respectively. There are no on-going federal, state, or local tax audits. ATRU has no amounts accrued for interest or penalties as of August 31, 2024 and 2023. Due to its tax-exempt status, ATRU is not subject to U.S. federal income tax or state income tax. ATRU does not expect the total amount of unrecognized tax benefits to significantly change in the next 12 months.

From the operatic glory of our inception to the rock-and-roll concerts of the 1960s and 70s, from a setting for the world's most legendary musicals to the greatest ballets, the Auditorium has adapted and grown, but we have always remained dedicated to providing the highest quality of artistic experiences while preserving the storied principles upon which we were founded. From the sweeping arches to the stage itself, the breadth of talent to grace the Auditorium is astounding. Former Presidents Theodore Roosevelt and William McKinley gave speeches where, years later, incandescent musicians such as Jimi Hendrix, The Doors, Aretha Franklin, and Elton John performed. Stevie Wonder and Ray Charles captivated audiences in the same space where Les Miserables and Phantom of the Opera once played to sold-out crowds. Whether Frank Sinatra or Itzhak Perlman, The Beach Boys or Booker T. Washington, we are proud of all those who have visited our stage, but we are always focused on improving and enhancing the quality of our lineup-for a Landmark Auditorium in one of the world's greatest cities, nothing else will suffice. Our programming continues to evolve. The Auditorium's presented season annually features an eclectic mix that ranges from classical ballet to contemporary dance, and our kinetic, self-produced musical experience, "Too Hot to Handel: The Jazz-Gospel Messiah," combines dynamic jazz improvisation with a beloved classical music composition. This production also showcases dozens of local musicians, a volunteer choir, and three exceptional soloists, who collectively create a true community experience. Thus, while we are committed to presenting unparalleled national and international companies, we are ever mindful of the diversity of the landscape the surrounds us. We actively pursue artistic groups that showcase local talent and embrace diversity, multiculturalism, and equity. We remain profoundly dedicated to principles of inclusion and continuously search for new avenues to express these crucial ideals. The Auditorium's enrichment experiences constitute an equally integral area of focus. Programs such as "Hearts to Art," a summer arts camp for children who have experienced the death of a parent, are crucial to using music, dance, theatre, and creative play as a conduit for growth, guidance and healing. Similarly, our innovative ArtsXChange professional development opportunity provides educators with tools for teaching arts education to their students. Additional engagement efforts such as our Admit One program, provides community groups that have limited resources and minimal access to the arts with opportunities to experience world-class performances, and our master classes help students from throughout the Chicago area engage the arts on a deeper level and illustrate that our dedication to our patrons extends beyond the stage and into our communities. At the center of our mission is the commitment to the ongoing restoration and preservation of our National Historic Landmark. We have recently taken significant steps to ensure the success of our preservation goals, which include expanding public access to the stories of innovation, excellence, and diversity that intersect with the tremendous legacy of the Auditorium .
