“The bylaws were amended as follow: 1.) No representative of the organization shall take action that is not permitted under the IRS Code Section 501(c)(3). 2.) A term quorum is added and defined. 3.) The term of office for board members is further defined. 4.) Duties of subcommittees or task forces are further defined. 5.) Section 7 was added to address maintenance and general right of inspection for books and records. 6.) Section 8 was added to address gifts received by the Board of Directors.”

“Full members of The Network shall be women professionally based in the Chicago Metropolitan area who shall have attained a high level of achievement and shall have been found acceptable as members of The Network by the membership committee. A full member may become a Non-resident member if she resides outside of the Chicago Metropolitan area for the majority of the year. A full member belonging to The Network for less than one year who is no longer active may become an Emerita member. Full, non-resident and Emerita members may become life members when tenure as a member of The Network plus her age is at least 100.”

“Full members of The Network elect Officers and the Board of Directors at the annual meeting.”

“The Form 990 and related schedules was reviewed by the Network's President & CEO, Secretary/Treasurer and the Finance and Audit committee prior to filing anf distributrion to the Board.”

“The Board is apprised of any potential conflicts as they arise. An annual disclosure statement is required to be signed by the Board.”

“The Board Chair conducts a survey of CEOs of similarly situated organizations to determine the compensation of the CEO. Compensation is recommended by the Chair and approved by the Executive Committee.”

“Governing documents, the conflict of interest policy and financial statements are available at the Organization's office.”
