Per by-laws - the general membership shall consist of individuals and community groups interested in and who contribute financially, or in-kind, to the annual operation of the organization.

From by-laws - directors shall be elected by the general membership at the annual meeting of the members. Each member present at a meeting, either in person or by proxy, shall be entitled to one vote on each matter submitted to a vote of the members.

The organization's procedure involves distributing the report to members prior to filing, with no requirement for approval.

Form 990, Part VI, Section B, Line 12C

In connection with any actual or possible conflict of interest, an interested person must disclose the existence of the financial interest and be given the opportunity to disclose all material facts to the directors and members of committees with governing board delegated powers considering the proposed transaction or arrangement. The remaining board or committee members shall decide if a conflict of interest exists. After disclosure of the financial interest and all material facts, and after any discussion with the interested person, he/she shall leave the governing board or committee meeting while the determination of a conflict of interest is discussed and voted upon. An interested person may make a presentation at the governing board or committee meeting, but after the presentation, he/she shall leave the meeting during the discussion of, and the vote on, the transaction or arrangement involving the possible conflict of interest. In addition, all interested persons must complete a conflict of interest questionnaire (prior to) upon becoming an officer or upon joining the board of directors or any committee and at least annually thereafter. The executive director will ensure that this takes place and bring any potential conflicts to the executive committee's attention.

PART X, LINE 2:

The organization has adopted the guidance in the fasb codification topic related to uncertainty in income taxes which prescribes a comprehensive model for recognizing, measuring, presenting and disclosing in the consolidated financial statements uncertain tax positions that the organization has taken or expects to take in its tax returns. Under the guidance, the organization may recognize the tax benefit from an uncertain tax position only if it is "more likely than not" that it is sustainable, based on its technical merits. The tax benefits recognized in the consolidated financial statements from such a position should be measured based on the largest benefit that has a greater than 50% likelihood of being realized upon ultimate settlement with a taxing authority having full knowledge of all relevant information. Management believes that the organization has appropriate support for the positions taken on its returns.

IN ADDITION, WITH THE ONSET OF THE COVID PANDEMIC IN MARCH 2020, ALL EMERGENCY SHELTER CLIENTS WERE HOUSED AT HOTELS. WHILE HOUSED IN THE SHELTER PROGRAM, SURVIVORS AND THEIR CHILDREN RECEIVED COUNSELING AND ADVOCACY SERVICES AS WELL AS FOOD, CLOTHING, AND OTHER BASIC NEEDS. A SAFE PLACE ALSO OPERATES A 24-HOUR CRISIS LINE OUT OF THE EMERGENCY SHELTER, ALSO PROVIDING IMMEDIATE IN-PERSON CRISIS COUNSELING FOR THOSE IN IMMEDIATE DANGER. SUPPORT IS AVAILABLE 24/7, DAY OR NIGHT, FOR SURVIVORS IN CRISIS OR FOR CONCERNED FRIENDS AND FAMILY MEMBERS SEEKING INFORMATION ABOUT DOMESTIC VIOLENCE AND OUR SERVICES. THROUGHOUT THE YEAR, WE ASSISTED 3,568 CALLERS THROUGH OUR CRISIS LINE WITH SUPPORTIVE/CARING LISTENING, COUNSELING, INFORMATION, REFERRALS, AND ADVICE.
