Governance Explanations

Form 990, Part VI, Section A, Line 3

Hop Research Council contracts with Bryant Christie, Inc. for management services. Bryan Christie, Inc. provides "Executive Technical Director functions. The Executive Technical Director is responsible for membership recruitment and retention and coordinates the public breeding research effort which includes being the contact for cooperator growers that are managing the off-station research plots. The Executive Technical Director is responsible for interfacing with the researchers to ensure projects are on track as well as solicits new project proposals via the annual request for proposals and coordinates the single hop brewing trials with HRC members.Hop Research Council receives administrative services from the Oregon Hop Commission which provides Business Manager functions. The Business Manager provides bookkeeping for the organization. The Business Manager is responsible for meeting planning, recording meeting minutes, and compiling the annual research reports.

Form 990, Part VI, Section A, Line 6

Any individual, association, firm, group or council actively engaged or interested in the growing, production, handling, processing, or purchase of hops or hops products or in the business of supplying goods or commercial services to hop growers, hop processors, hop research institutes, hop handlers or brewers shall be eligible for membership.

Form 990, Part VI, Section A, Line 7A

An annual meeting is held each year and special meetings of the members may be called by the president at any time. Fifty percent of the membership constitutes a quorum and any vote can be cast in person or via written proxy. There are four classes of membership: State Hop Commission, Handlers, Brewers, and Individual growers. Each member, regardless of class is entitled to cast one vote for each of the four positions of the board of directors. The directors hold their positions for two years. The members can vote to remove any member of the board before the end of the two year term. If a board position is vacant for any reason during the two year term, the president of the board can appoint any member to fill the position until the original term ends.

At each meeting the council reminds the membership of the policy, and the requirement of members to disclose if they have financial interest. If a conflict is confirmed, the member is excused from the meeting during the discussion and vote that involves the conflict.

Bryan Christie, Inc. provides "Executive Technical Director functions. The Executive Technical Director is responsible for membership recruitment and retention and coordinates the public breeding research effort which includes being the contact for cooperator growers that are managing the off-station research plots. The Executive Technical Director is responsible for interfacing with the researchers to ensure projects are on track as well as solicits new project proposals via the annual request for proposals and coordinates the single hop brewing trials with HRC members.Hop Research Council receives administrative services from the Oregon Hop Commission which provides Business Manager functions. The Business Manager provides bookkeeping for the organization. The Business Manager is responsible for meeting planning, recording meeting minutes, and compiling the annual research reports.

IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt2An annual meeting is held each year and special meetings of the members may be called by the president at any time. Fifty percent of the membership constitutes a quorum and any vote can be cast in person or via written proxy. There are four classes of membership: State Hop Commission, Handlers, Brewers, and Individual growers. Each member, regardless of class is entitled to cast one vote for each of the four positions of the board of directors. The directors hold their positions for two years. The members can vote to remove any member of the board before the end of the two year term. If a board position is vacant for any reason during the two year term, the president of the board can appoint any member to fill the position until the original term ends.
